Salary for this position for FY13 is $80,000, FY14 $82,000,and for FY15 $84,000. Mr. Matthews said that this contract was voted on at the last meeting in Executive Session and that it was a unanimous vote to support. APPOINTMENTS 7:00 PM Joint Meeting with School Committee to appoint person to School Committee Vacancy - (Taken out of order before Announcements) School Committee members called their meeting to order for the joint meeting with the BOS to appoint a person to the School Committee vacancy. Present from the School Committee were: Michael Mackin, Colleen Shapiro, Gregory Berthiaume, and participating via Remote Participation was Brendan Grady. Superintendent Loxi Calmes was also present at the meeting. Mr. Matthews opened the floor for nominations for the open seat. Mr. Mackin nominated Todd Blake for the open position on the School Committee. Mr. Berthiaume seconded the nomination. Discussion: Mr. Alonzo said that all three candidates had great qualities and thanked everyone for coming forward during diffficult times. He stated that whenever there is more than one candidate that comes forward it is always difficult to make the decision. Mr. Sund nominated Anthony Caiozzo for the School Committee position. Mr. deBettencourt seconded the nomination. Mr. Matthews called for a roll call vote to appoint Mr. Todd Blake to the School Committee. Mackin - Aye Berthiaume - Aye Grady - Aye Shapiro - Aye Matthews - Aye Alonzo - Aye Bertram - Aye Being that the majority of School Committee and BOS members present voted to appoint Mr. Blake, it was deemed not necessary to call for a vote for Mr. Caiozzo. Mr. Bethiaume said that the School Committee will be resuming their meeting at the Brooks House. Mr. Matthews thanked all three candidates for coming forward, reminded them that there will be an election in May and encouraged Mr. Caiozzo and Mr. Meek La Veck to seek other volunteer opportunities within the town government. Mr. Mackin said that there will be more opportunities to serve and that there were other offices in town available for appointment including a seat on the BOS that will be up for election next year. He encouraged Mr. Caiozzo and Mr. Meek La Veck to stay involved. CURRENT BUSINESS ===PAGE 2=== 1. EPG Solar, Offer to Purchase Net Metering Credits - Ms. Speidel stated that Mike Borkowski from EPG Solar will be giving a presentation to the BOS regarding the Town's purchasing of Net Metering Credits from this project. EPG Solar's project was approved by Special Use Permit by the Planning Board. Ms. Speidel stated that EPG Solar made a number of concessions in order to meet the requirements of the new Bylaw, specifically with regard to Setbacks, and in will produce approximately 1.5M KW of power per year. Because of the reduced size of the project, it is now a "Net Metering" project. Unitil, under currant State Law, is required to purchase 2% of its maximum load as "Green Energy" has brought this proposal to the Town. Ms. Speidel and Director of Facilities John Londa, have reviewed this proposal save the town approximately $80K - $1O0K annually in utility costs. Mr. Borkowski distributed a presentation to the BOS and went on to say that he commends the Planning Board and Conservation Commission for their efforts in working with EPG Solar and the abutters to get the project down to a manageable size. He explained that it has been switched from a whole sale arrangement to a net meter arrangement which will allow them to take advantage of a State incentive. Mr. Matthews congratulated the neighbors who "made their voices heard" and basically helped to write the Bylaw. He also thanked EPG Solar for seeing the value of seeing within the special permit range so that there would not be more battles going down the road. Mr. Borkowski gave a lengthy presentation to the BOS which included an explanation of Net Meter Credits, how it works and the cost savings to the customer. He explained that the Unitil territory is a very small load zone and 2% of their electric at this point which only allows for Net Metering at approximately 1.8 MW, which potentially could double when new legislation is passed. Once 1.8MW per facility have been installed, nobody will receive those Net Meter Credits anymore, and it will work on a first-come, first-served basis. He stressed that there is only about a 2 month window that is open to get the 1.8MW for this project and that there is a limited amount of Net Meter Credits available. He requested a Pilot agreement that EPG's tax payments to the Town be straight lined over a period of time in order to make a more even cash flow rather than wild fluctuations and uncertainty. Mr. Borkowski stated that the proposal is for EPG Solar to sell January and EPG is ready to go forward now. Ms. Speidel stated that the Power Purchase agreement is a 20 year agreement and any contract over 3 years needs Town Meeting approval. Although the BOS can negotiate a Pilot Agreement, it would also need approval at Town Meeting. She is investigating if there is an interim step which could be taken in order to get this moving and said that EPG had indicated that they would pay for the cost of a Special Town Meeting. Ms. Speidel also assured the Board that by entering into this project, it would not interfere with the progress of the solar project at the landfill. Ms. Speidel stated that she feels that if we don't take advantage of this opportunity then another community will. Ms. Speidel will ask the Assessors office to provide an updated estimated Assessed Valuation Calculation. Mr. Alonzo asked if this would jeopardize any of the aggregation plans the town has with the municipal buildings to which Ms. Speidel replied no. Mr. Sund asked if the solar panels on the school are Net Metering to which Ms. Speidel replied yes and they are already factored in. Ms. Bertram said that she supported this project but has concerns with the timelines and the set up of Special Town Meeting. She would also like to hear from the Assessors on the real estate tax impact. She questioned the exit strategy and said that she has some technical questions on the contract. She asked Mr. Borkowski what he was looking for in a time frame to have this settled. Mr. Borkowski replied that they would like to hear from the Town when the earliest possibility for a Town Meeting could be and if they got an affirmed date which falls within acceptable timelines then they will be able to "keep the window open". ===PAGE 3=== Discussion ensued about a September Special Town Meeting and that there would be two questions, one relating to the Power Purchase and the other concerning the Pilot Agreement. Ms. Bertram asked Mr. Borkowski what if the Town were not willing to go into a Pilot Agreement would it affect the Net Metering Agreement. Mr. Borkowski replied that he did not think it would and at the end of the day they are going to pay the taxes. Mr. Alonzo said that he would like to make sure that the rates for the Net Metering were fair. Ms. Speidel replied that Mr. Londa has done all of that analysis and independent verifications. Mr. Matthews stated that he was comfortable with going forward with this project now. Mr. Matthews said that he would like to entertain a vote to start the process toward a Town Meeting, commit that we will go to Town Meeting, but not to commit to any agreements yet until we get the numbers. Mr. deBettencourt moved the vote. Mr. Sund seconded. On vote, motion carried, 5 in favor, 0 opposed. 2. State Primary Posting, Sign Warrant - Ms. Speidel presented a warrant for the State Primary posting which requires the BOS signature. Mr. Matthews read the warrant into the record and it was signed by the board. 3. FY12 Year End Budget Transfers - Ms. Speidel made a request to the board under MGL C. 44, Section 33B, to transfer $220.53 from the Treasurer's Administration to the Administrative Fee/Loans and a transfer of $21,152.82 from Health Insurance to Central Purchasing. These transfers had previously been approved by the Finance Committee at their July 26, 2012 meeting. Mr. deBettencourt moved to approve the transfers as identified by the Town Manager. Mr. Sund seconded. On vote, motion carried, 5 in favor, 0 opposed. 4. MSBA Contract, Feasibility Study (Taken out of order after Appointments) - School Superintendent, Loxi Calmes updated the BOS on the timeline for returning the MSBA Contract/Feasibility study to the State which is 30 days from the time that it was submitted to the School Building Committee, which she believes they are approximately 2 weeks into now. It is currently being reviewed by Town Counsel and Ms. Calmes will forward it to the BOS for review. Ms. Speidel stated that Counsel has not completed the review, a draft copy will be sent to the BOS for review, and this item will be on the agenda for next weeks BOS meeting. Mir. Matthews updated the public that the BOS had met at 6PM for a Work Session on updating Policies & Procedures. 5. Minutes/Warrants/Action File Issues Minutes: 9/13/11 6/5/12 7/10/12 Workshop 7/10/12 7/24/12 Warrants : 8/1/12 8/7/12 7/31/12 7/25/12 7/31/12 W 7-13 ₩ 8-13 ₩ 6-13 WSA-13 W/3P-13 $316,612.55 $616,156.60 $96,543.34 $7.54 $520,363.30 Action File Issues : Mr. Sund asked about the project list from DPW, to which Ms. Speidel replied that she had just received it today, has not had a chance to review it yet, and should have it for the next meeting. Mr. Alonzo thanked the DPW for helping with the Eagle Scout Project in replacing the damaged bench at the lower common. Ms. Bertram requested copies of correspondence from Town Counsel concerning the Open Meeting Law. She would also like Ms. Speidel to contact Kopelman & Page on scheduling a Workshop concerning the Open ===PAGE 4=== Meeting Law. Ms. Speidel replied that the Town Clerk is working on a scheduling one with them either in September or October. Mr. Matthews reported that a neighbor of the N. Leominster Rod & Gun Club on Lancaster Ave had complained to the State Representative, who in turn passed the information on to the BOS, concerning gun fire/explosions happening after their operating hours. Ms. Speidel stated that she referred the complaint to the Building Inspector who has met with the neighbor and has scheduled a meeting with a representative from the club. Ms. Speidel explained that the use has been in existence for a long time, pre-dates Lunenburg Zoning, and is a "Grandfathered" use, although it still would be subject to Lunenburg's Noise Ordinance. She will provide the BOS with updates when she receives them. Board members discussed this issue in saying that the shooting area has been expanded dramatically over the years, the loss of wooded area has added to the increased noise, and the weapons being fired include more than guns. 3. Committee Reports - Mr. Alonzo reported that the Finance Committee met a couple of weeks ago and discussed the FY12 year-end budget transfers. Also discussed was a list which was compiled consisting of Town owned properties that are being used and others that are, or will be vacant, so that the Town can have a good handle on where these properties are located. The next meeting of the Finance Committee will be this Thursday at 7PM, in Town Hall. Mr. Matthews asked if the developers who are interested in the Primary School Building have come back with the changes in their agreement to help with their funding for the project. Ms. Speidel will follow up with them. Mr. deBettencourt told the board that he had discovered a Lunenburg/Fitchburg town line sign which had been damaged. He requested that the City of Fitchburg be contacted about a joint replacement of the sign and cleanup of that area. Ms. Speidel will investigate this matter. Mr. Matthews reported that the School Building Committee had met and are in the process of working with the MSBA regarding approval of the RFS for a Project Manager and they hope to move forward with this soon. 4. Department Reports - None 5. Town Manager Reports - Ms. Speidel mentioned that she had received the contracts back from MEMA in regards to the October 2011 Ice Storm reimbursement. Several different requests had been submitted for approximately $607,000. The contracts received yesterday from the State totaled $447,000, were signed and returned to EMA. Reimbursement should be received shortly. Mr. Alonzo mentioned that in the 2008 Ice storm the Town of Lunenburg, had appealed to the State for payment of the 25% remainder of the reimbursement, which was not reimbursed from FEMA. He asked about the letter, which was signed off on by other communities, to be sent to the Governor and the State Reps. to see if we could do the same with this. Ms. Speidel told him that the letter had been sent but there has been no reply. Ms. Speidel said that the State Transportation Bond Bill was approved by the Legislature. This includes the remainder of the design money for the Summer St. project, which will cover 80% of the design. The bill is now waiting for the Governor's signature. Ms. Speidel thanked Senator Flanagan, Representative Benson, Representative DiNatale, and Representative Rosa for continuing to push this project forward. OLD BUSINESS - None APPOINTMENTS/RE-APPOINTMENTS/RESIGNATIONS - None Mr. Sund mentioned that he saw a survey concerning tax rates within the State and Lunenburg was ranked as the 56" highest rate in the State out of 352 towns and communities. Mr. Matthews pointed out that it was only half of the equation and that the other half is the valuation, which Lunenburg is currently taxed at 10% below the State average. ===PAGE 5=== Mr. Alonzo cautioned the public that tax rates are not indicative but rather tax bills are whats indicative of how much you pay. Tax rates are based on what the valuation of your home is and the same home placed in different parts of the state fluctuate wildly. EXECUTIVE SESSION - None Being no further business Mr. deBettencourt motioned to adjourn the meeting. Ms. Bertram seconded. The board voted unanimously to adjourn regular session at 8:20PM. Bilotta Meeting Room, Town Hall as scheduled with David Matthews, Steven M. deBettencourt, Paula Bertram, Tom Alonzo, and Town Manager Kerry Speidel present. Carl "Ernie" Sund was absent from the meeting. Regular Meeting opened at 7:00 PM with the Pledge of Allegiance. 7:00PM PUBLIC COMMENT Mr. Matthews commented that it was noted at last week's meeting that Lunenburg was ranked 56 out of 351 towns in Massachusetts for the tax rate and that some members had discussed that we should be closer to average and other members felt that discussing the tax rate is only half of the discussion because it is only half of the equation which includes both tax rate and valuations. He stated that it's misleading to focus on just one or the other, you have to look at both, and that the real information is what you find in your tax bill. He went on to state the following figures: FY11 the average property tax bill in Lunenburg was $4,064. Average property tax bill for the State was $4,537. This puts Lunenburg 10% below the State average. Lunenburg ranked 149 out of 337 communities that were reporting. FY12 the average property tax bill in Lunenburg was $4,174. Average property tax bill for the State was $4,711. This puts Lunenburg 11% below the State average, which was the amount of what was requested for the recent override which was voted down and would have put Lunenburg at the State average. FY12 sees Lunenburg ranked at 115 out of 338 reporting communities. This information is available at the Mass DOR website under Local Officials & Data Bank Reports. Mr. Matthews stated that facts are a better basis rather than opinion or half truths for decision making & for understanding fiscal realities of our town. Dave MacDonald and Joanna Bilotta Simeone, members of the DPW Building Committee, spoke to announce the upcoming DPW open house & Big Truck Night which will be held on August 20 from 3-7PM at the DPW. This event is an opportunity for the public to see the newly renovated facility and equipment from the DPW, Police, & Fire Departments. There will be activities for children, food, and a flu clinic provided by CVS. ANNOUNCEMENTS APPOINTMENTS CURRENT BUSINESS 1. Chapter 100 Auctioneer License, 133 Leominster-Shirley Road, 09/15/12 - Ms. Speidel presented the Chapter 100 Auctioneer License request from Petrowsky Auctioneers Inc. scheduled for 9/15/12. The application has been filed, application fee paid, and a copy of the Auctioneers license is included in the BOS packet. Mr. deBettencourt stated that this is surplus equipment from Padula Brothers Inc. who will be moving to Lancaster MA. Mr. deBettencourt motioned to grant the Chapter 100 Auctioneer License to Petrowsky Auctioneers Inc. Mr. Alonzo seconded. On vote, motion carried, 4 in favor, 0 opposed. 7. MSBA Contract, Feasibility Study (taken out of order) - Mr. Matthews stated that the MSBA Contract/Feasibility Study was distributed to the BOS yesterday via email. They are still awaiting input from Town Counsel but believes that there were no issues with the contract. Ms. Speidel stated that there was also a certification which Town Counsel had to provide and did so today which is included in the packet that was distributed this evening. ===PAGE 2=== Mr. Alonzo requested that in the future if these packets are available sooner for the BOS to review, before Town Counsel has completed their review, then they should be distributed sooner to the BOS for examination rather than receiving them the night before, considering it is a fairly lengthy document. Ms. Bertram stated that she was pleased to see that within this contract there was some ability to attempt to recoup some of the cost from previous studies and saw no other issues with the contract. Mr. Matthews asked for a vote from the board to authorize his signing of the contract for the BOS. Ms. Bertram motioned to approve the vote. Mr. deBettencourt seconded. On vote, motion carried, 4 in favor, 0 opposed. Loxi Calmes, School Superintendent spoke and explained what the upcoming steps in the process were going to be. She believes that they have only tackled about 10% of the things needed to do and that this was a critical first step. She said that today they received word from MSBA that pending the signing of the contract this evening, they are ready to submit for the request of services for the project manager and also begin the feasibility study. She said that they are excited about this because it means they have completed the maintenance review, enrollment study, and all of the items that are required for the eligibility phase. She encouraged the public to check out the School Committee website to stay on top of the progress. 2. EPG Solar, Offer to Purchase Net Metering Credits - John Londa, Director of Facilities & Grounds, explained the numbers that went into the value of the Net Metering Credit. He explained that there are two components which are the supply cost, which is based upon what the current rate is of power per KWH. He said that he thought the rate that EPG Solar had submitted was a little high. The current rate is .062 cents per KWH and EPG was using 7 cents per KWH. The second part has to do with distribution costs which consist of distribution, transmission, and transition which all average out to be approximately 11.9 cents per KWH. Based upon what EPG Solar had proposed, the savings for the first year look to be about $78K. Beyond that they are using a 2% escalator for each year for the cost of the credit to the Town. He stated that it is difficult to figure out what will happen 15-20 years from now. Currently it's slightly over 6 cents per KWH and there have been some substantial fluctuations in the cost of power over the last 5 years. Right now it is at a low, which is being driven by the cost of natural gas. He believes that the Town has little to risk, but a lot to gain from purchasing the Net Metering Credits. Mr. Alonzo asked where EPG Solar's charge back to the Town of 12.88 cents was coming from. Mr. Londa replied that they are taking the costs of distribution, transmission, and transition and adding 1 cent to that per KWH. Ms. Speidel informed Mr. Londa that EPG had revised the cost of the KWH to 6.6 cents which will be a savings of $84K annually. Ms. Bertram voiced her concerns about entering into a 20 year agreement with anything, as a municipality. She stated that technology is constantly changing and new technology will come forward and she asked what Mr. Londa's gut reaction was to this power source. Mr. Londa replied that his biggest concern would be if the Net Metering regulations changed 10-15 years from now. As far a long term contract, the panels themselves typically have a warranty of at least 20 years and a life span of around 25 years. He does not think there is much risk in going into a long term contract and feels that you would need one in order to have a project like this. Mr. Matthews stated the Regional Assessor is reviewing again the projected revenues for this project so that they can begin to talk about a Pilot. Ms. Speidel stated that she had met with the Regional Assessor today and said that previous information which the Assessor had presented to the BOS stated that if you look at the value of the project you're looking at $45K-$55K per MW. She discussed other communities that are negotiating PILOT's along with their costs and said that the Assessor thinks that the $14,207 in taxes is good because the highest he has seen moving forward is $12K. The Assessor would like more information from EPG regarding their lease so that he can factor in the land cost. Ms. Speidel said that she feels that they have to consider what PILOT's are being negotiated for versus what the value is. Ms. Bertram stated that she is very concerned with the numbers because there is a huge difference between $45K-$55K and $14K. She can see why they want to move forward with the project but at the same time she does not want to do it at the expense of the taxpayers. She would like to hear more from the Assessor at how he arrived at his value and she would ===PAGE 3=== like to understand why there is such a discrepancy. Ms. Bertram does not want to take something to Town Meeting as a Net Metering agreement, then not be able to reach an agreement with the developer and not see this project go forward. Discussion ensued amongst the Board concerning a timeline for meeting with the Assessor regarding the tax issue, and being able to set a date for Special Town Meeting in a timely manner. Although there were no BOS meetings scheduled for the rest of the month it was decided to hold a BOS meeting on Tuesday August 28 at 7PM at a location TBA. 3. Set date for Special Town Meeting - After due and diligent discussion the BOS decided to open the warrant for STM on 8/24/12 with a close date of 9/4/12. STM has been scheduled for 9/25/12. 4. Special "One Day" Liquor License, Michael J. Laughlin, 322 Northfield Road - Withdrawn 5. Earth Removal Permit Renewals, List of Locations attached - Ms. Speidel presented a review of all of the outstanding Earth Removal Permit renewals to the Board. She explained that they are granted for a 1 year period beginning on September 1 of each year. The Building Inspector/Zoning Enforcement Officer has done site inspections on all of the outstanding permits. She asked that if board chooses to renew these permits that it be done contingent upon receipt of the completed application, contingent upon payment of the permit fees, and are current on all payment of taxes. There are a few applications that are still outstanding at this time with payment of fees, and one property that is not current on taxes due to the death of the property owner and the heirs are working through some issues with the estate. Ms. Speidel announced the lists of locations requesting Earth Removal Permit renewals. Mr. Alonzo moved to approve the Barth Removal Permits with the caveat that all of the requirements for the permits, as detailed by the Town Manager, are met. Mir. deBettencourt seconded. On vote, motion carried, 4 in favor, 0 opposed. 6. Report on Lunenburg Relief Project 2012 - Ms. Speidel presented an overview report on the Lunenburg Relief Project, which was spearheaded by Rick Hill, and held on July 14, 2012 at the Library. Most of the donations were made on that day but a few more were mailed in. In total 100 donations were received, with some donors giving to multiple causes, which totaled to $$27,328. They are as follows: Library Road Maintenance General Fund Public Satety School Dept. Senior Center Donations Received 19 19 4 17 35 26 Donation Ranges $20 - $500 $10 - $500 $10 - $1000 $10 - $500 $10 - $5000 $10 - $1000 Total $3580 $3330 $1110 $2200 $12,110 $4998 All donors received a receipt at the time of the donation and some departments have sent out letters acknowledging the donations to donors. Ms. Speidel would like to place an ad in the Lunenburg Ledger thanking all who donated and would like input from departments on what to include in the ad. Mr. Matthews thanked everyone who came out and donated and stated that he is sure that all the departments would find good uses for every dollar which was given. 8. Committee Reports - Mr. Alonzo reported that the Finance Committee met last Thursday and discussed the closing of the FY12 budget. ===PAGE 4=== 10. Department Reports - None 11. Town Manager Reports - Ms. Speidel reported that a resident of Lunenburg with expertise in telephone contracts volunteered her time to review all of the phone services for Town Departments and the School Department and to make a recommendation on better services to save the Town money. She stated in an email to the Town Manager that the consulting company that the Town worked with in 2010 was able to have the rate per line dropped from $33 - $13 per line which is a significant savings. She suggested that it would be less expensive to switch the phone system over to a voice over IP in the future but until fiber comes through it would not be a good move due to voice quality not being good for business and they would not be able to offer a competitive rate. She also recommended that Comcast be contacted and ask them to update the HSIA on all accounts. She could not find any other savings that could be achieved given the work that was done back in 2010. Mir. Alonzo thanked the Town Manager for the report and acknowledged the IT Director Nancy Strom, and she is doing a good job with keeping up with the telephone items and with the stability of the network in town. He also noted that Voice Over IP will become a viable solution when we have fiber. The Mass Broadband Institute will be bringing fiber through Lunenburg which is slated to be going live no later than July of next year and requested that we plan ahead to prepare for OLD BUSINESS - Mr. Matthews distributed the Town Managers Goals to the board which had been discussed in a previous workshop for review. APPOINTMENTS/RE-APPOINTMENTS/RESIGNATIONS 1. Extend appointment of Myleen Mallari, as Acting Treasurer-Collector from August 21, 2012 to September 4, 2012 - Ms. Speidel stated that the position of Treasurer/Collector has been advertised and applications have been received. She will be conducting interviews this week and would like to extend the appointment of Myleen Mallari as Treasurer/Collector until 9/4/12. At that time she will be ready to make a recommendation of a person to serve as Treasurer/Collector on a regular basis. Mr. Alonzo moved to continue the appointment of Myleen Mallari as acting Treasurer/Collector through September 4, 2012. Ms. Bertram seconded. On vote, motion carried, 4 in favor, 0 opposed. EXECUTIVE SESSION - None Being no further business Mr. deBettencourt motioned to adjourn the meeting. Ms. Bertram seconded. The board voted unanimously to adjourn regular session at 8:15PM. Carl "Ernie" Sund and Tom Alonzo were absent. Regular Meeting opened at 7:01 PM 7:00PM PUBLIC COMMENT Jared Otte, Attorney from Bowditch & Dewey representing Mass PV 1, LLC, requested that MASS PV 1 be allowed to enter into a PILOT /Net Metering Agreement with the town similar to EPG Solar's request. He asked for copies of any documents that were being distributed this evening concerning a PILOT/Net Metering agreement. Mr. Matthews stated that the BOS would be more than happy to review any proposal that is brought forward by MASS PV 1. He added that once they have their permits in place through the Planning Board they would open up discussion with MASS PV 1 concerning the PILOT. Mr. Otte also requested that the Warrant Article for the upcoming STM relating to this issue be revised so as not to be exclusive to EPG Solar. Dave Prokowiew questioned if there would be an opportunity for public discussion after EPG is discussed this evening. Mir. Matthews replied yes, depending on how discussions go with the Assessor and that their goal tonight is to get information concerning the PILOT from the Assessor. He stated that they will not be making any decisions this evening on what the negotiated amounts will be. Ms. Speidel reminded the Board and interested parties that were present at this meeting, that the warrant is open now and will close on 9/4/12 at 5:00 p.m.. Printing will need to be completed and delivery to the Post Office will need to be done by 9/7/12. If decisions are not made at this meeting or the next concerning the PILOT then the "hard numbers" will not be included on the warrant. Tom Weisman, 11 Rangely Road, said that he is having a septic system problem and requested that an Article be included on the warrant for STM which would grant a permanent easement to 11 Rangely Road allowing an area of 10' × 80' of the town's right of way along the Rangeley Road border to be covered by fill sloped from 2' down to O'. Mr. Matthews stated that they will be able to accomplish that request. ANNOUNCEMENTS APPOINTMENTS CURRENT BUSINESS 1. EPG Solar, Review of Power Purchase Agreement & PILOT Agreement - Harald Scheid, Regional Assessor, reviewed with the Board his findings regarding the comparison of Solar Taxation Alternatives for a 2MW project. (See attached). Mr. Scheid stated that there are two alternatives for taxation, one being solar tax under full and fair cash value, the other under a negotiated PILOT agreement. He estimated that the Twin City parcel land valuation is at approximately $250,000 which yields approximately $4,300 per year in real estate tax, which is based on 43 acres which are leased. Mr. Scheid feels that whatever amount the Board decides to negotiate with EPG Solar, other developers will need to be brought in under the same terms. Discussion concerning how the property is zoned ensued and Mr. Scheid stated that in the Assessor's records it is currently classified as residential land. He went on to say that the Department of Revenue (DOR) has not weighed in yet ===PAGE 2=== on classification of these projects but he believes that they will be looking at an industrial tax classification because of the generation of electricity. The Full and Fair Cash Value of the personal property associated with this project, on a 20 year average, would amount to approximately $50K-$55K per MW, per year, which includes the value of the Solar Renewable Energy Certificate (SREC Bill). Other communities that want to promote solar development form PILOT Committees to negotiate with the solar companies, which report to their BOS. Communities that come in at full taxation typically do not have their solar projects go forward Ms. Bertram stated that she remains concerned with the original number that was talked about in lieu of the information that Mr. Scheid had just presented. She's not sure what setting one PILOT agreement holds the town to in the future because if they are talking about a Net Metering project, she believes it is a component of the discussion. If a project came forward that was not a Net Metering project and there was no additional savings to the town then that is a factor in the discussion. Ms. Bertram stated that she thinks the BOS have a long way to go in negotiating this PILOT agreement and need to get closer before she will entertain it. Ms. Speidel stated that she and Mr. Scheid had a discussion earlier concerning the last meeting which was held with EPG. The Assessor from the Town of Shrewsbury had gone through this same analogy and had come up with a tax per MW which was much closer to what EPG had presented which was approximately $14K per MW. Although they have not spoken with the Assessor from Shrewsbury their thoughts are that Shrewsbury is just looking at the net operating income and assuming a tax based off of that. If you do this and take out all of the credits you come up with approximately $11K per MW. This does not mean that other communities are going through traditional valuation methods and coming up with something significantly different then what Mr. Scheid has come up with, but likely they are just looking at the net operating income because the solar developer is selling the credits to get capital to build the project and the developer is only seeing the net operating income. Informal discussion among the BOS, Mr. Scheid, and interested parties who were present this evening began. This included identifying other communities in Massachusetts that are involved with PILOT/Net Metering programs, how they work, and what the costs of assessing the land where these projects are located entails. The EPG Solar project will be operating on a Special Permit in a residential area. The Assessors office will classify it as industrial use for tax purposes only and any zoning changes to the property will need the approval of Town Meeting. Mr. Scheid established the fact that any agreements that the majority of the other communities have negotiated have been Net Metering projects and thought that only one other town had negotiated a PILOT for a Non-Net Metering project. John Londa, Director of Facilities, spoke to report about the cost of distribution over time. Ten years ago the cost of distribution, transmission, and transition was less than 7 cents per KWH and currently its just less than 12 cents per KWH which saw a 6.2% annual increase in the last ten years. Mr. Prokowiew requested projections to see if the town "inks" PILOTS with one or more of these companies, what the total power portfolio would look like for the municipality. Mr. Matthews replied that its part of some of our projection and we need to add up what our total usage will be. Mr. Londa added that we currently use about 2M KWH per year which includes schools and municipal use. This breaks down to about a 50/50 usage by both entities. Ms. Bertram asked Mr. Londa for an update on the landfill solar project. Mr. Londa responded that Borrego Solar was not happy with the initial cost estimates for reduced size systems from Unitil & had them come back to see whether or not they could reduce some of the requirements for interconnection costs. Unitil is currently doing a study to see if this would be possible. Mr. Prokowiew questioned what would happen if EPG decided to go elsewhere after they get the PILOT agreement, would there be an exit strategy for the Town. Mr. Matthews replied that there is always an exit strategy and the agreement will be written to make sure the Net Metering comes with it. Ms. Speidel stated that the BOS will be meeting next Tuesday and that all warrant information will be finalized then. The warrant will now include 4 Articles which will include 2 PILOTS, 1 Power Purchase Agreements, and an Easement. There was discussion on Mass PV's inclusion of a power purchase agreement and it was reiterated that the warrant will remain open until Tuesday if they wish to include it. ===PAGE 3=== 2. Committee Reports - Ms. Bertram informed the board that she will not be attending the upcoming MPO Ms. Bertram had also attended the Lunenburg Planning Board meeting where they discussed the Chase Rd solar project for September 17'h Mr. Matthews reported that the School Building Committee met last week and the RFP's have gone out for the OPM and so far 13 people have requested information. Interviews for the cut down will list will be on the 2' and 4" of October. 4. Department Reports - None 5. Town Manager Reports - Ms. Speidel reported on the Summer St Design Project and said that they now have 100% of funding for the design between the appropriations that the three communities involved had made through the Transportation Bond Bill. The Transportation Bond Bill is a 5 year program but the Governor has to initiate the spending down of the bill before the money can be accessed. In the meantime Mobile Funding will be used to start the project. Ms. Bertram stressed the importance of staying on top of what percentage we are at to be included in next years TIP. She suggested that the MJTC Representative, Bob Saiia needs to remain vocal about this project. OLD BUSINESS - APPOINTMENTS/RE-APPOINTMENTS/RESIGNATIONS 1. Appoint Nancy Forest as employee representative to Personnel Committee- Ms. Speidel explained to the Board that the Personnel Committee is severely shorthanded and she requested that Nancy Forest be appointed as employee representative to the Personnel Committee. Ms. Bertram moved to appoint Nancy Forest as employee representative to the Personnel Committee. Mr. deBettencourt seconded. On vote, motion carried, 3 in favor, 0 opposed. Mr. Matthews spoke about the "Big Truck" night which was held at the DPW on 8/20/12. He thanked the DPW Dave McDonald, Joanna Billotta Simeoni, and Jay Simeoni for organizing this event and said that they all did a great job. Ms. Bertram added to the thanks by saying it was a great event for the community and hopes it becomes an annual event. Mr. deBettencourt suggested that the previous easement request submitted from Mary Ann & Tim Weisman be voted on tonight to be added to the warrant as an article at special town meeting to be held on 9/25/12. Mr. deBettencourt moved to include the Weisman's easement request in the warrant for special town meeting. Ms. Bertram seconded. On vote, motion carried 3 in favor, 0 opposed. The BOS will vote on the request made earlier by Mass PV for the warrant change for STM at the 9/4/12 BOS meeting. Dave Prokowiew thanked the BOS for allowing the public to speak this evening and also thanked Ms. Speidel for taking time out of her vacation to attend this evenings meeting. Mr. Matthews echoed Mr. Prokowiew's sentiments. ===PAGE 4=== EXECUTIVE SESSION — None Being no further business Mr. deBettencourt motioned to adjourn the meeting. Ms. Bertram seconded. Not present were Carl "Ernie" Sund, & Town Manager Kerry Speidel Regular Meeting opened at 7:00 PM 7:00PM PUBLIC COMMENT ANNOUNCEMENTS APPOINTMENTS CURRENT BUSINESS 1. EPG Solar, Review of Power Purchase Agreement & PILOT Agreement - Mr. Matthews stated that any further discussions concerning PILOT Agreements need to be discussed in Executive Session. 2. Mass PV1, Review Power Purchase Agreement & PILOT Agreement - Scott Fenton, representing MASS PV spoke and said that he was there this evening to answer any questions the BOS may have concerning his clients proposed development. They would like to receive the same conditions/terms as EPG Solar is negotiating with the BOS. He said that it is not imperative that they do a Net Metering Agreement or PPA with the town, they will be doing a wholesale agreement, and will look to other towns to see if they would like to do a Net Metering Agreement. He said that they understand the town's capacity issues and had asked the town for their electrical usage requirements about a month ago but was not sure if they have been going back and forth between MASS PV & the town. Mr. Fenton said that the Net Metering/PPA rates are pretty much set at anywhere from 9-10 cents per KWH and they would be willing to meet any requirements that the town sets for that. They had a preliminary review with the Planning Board last week that went very well and will be going back for a site plan review next Tuesday. Mr. Matthews asked Mr. Fenton concerning the PPA agreement if they would be willing to scale that to whatever the town's needs are and Mr. Fenton replied correct. Mr. Matthews stated that their approach on this is to get the best opportunity/return for the town. He said that the board needs to discuss in Executive Session how they want to approach this from a negotiation stand point and said that they are not looking to lay out a number for Mass PV in either a PPA or a PILOT and that it was entirely up to Mr. Fenton to come to the BOS with a proposal. EPG is in front of the BOS at the same time and the town is looking for some competition. Mr. Fenton said that he has not seen where a PPA is part of a PILOT Agreement and said that the town can do it anyway they would like to do it. Mr. Matthews stated that he is not in favor of doing PILOT's unless they are attached to a PPA. Ms. Bertram said that she agrees with the Chairman and if they do negotiate a PILOT it will be because there is a cost savings to the town through a PPA. Ms. Bertram stated that she wants it to be clear that if they are able to negotiate a PILOT it does not mean that it is a precedent moving forward for any type of alternative energy coming behind this agreement. If they do negotiate a PILOT, it will be done on an individual basis. Mr. Fenton spoke and said there are other ways for cost savings and gave an example of a cash sum payment to the school district in lieu of the PPA, which they have done with the Town of Warren. Mr. Matthews asked Mr. Fenton if they had met with the Assessor's to understand what they would value their project at. Mr. Fenton replied that they had met back in December and there were some serious flaws in what the assessment was at that time. He questioned where he got his numbers from and the validity of the Assessor's numbers. Mass PV's numbers ===PAGE 2=== were from the U.S. Dept. of Energy and the Assessors were based on conversations with other developers. Mr. Fenton stated that he thinks the Assessors numbers had been revised significantly but did not know what those conversations were. He said that they have had discussions with Christopher Reidy out of Shrewsbury who has negotiated a few of these PILOT agreements and said that Mass PV would assist in paying for a review by that consultant. Mr. Matthews suggested that Mass PV restart conversations with the Assessors and that the assessments have not changed that much from what Mr. Fenton had heard initially. 3. Review Warrant, Special Town Meeting, 09/25/12 - Mr. Matthews stated that have not been able to put together numbers for the taxpayers to see concerning the PILOT Articles for Special Town Meeting, although he believes they will have them within the next week or two. The BOS will be making recommendations on the Articles at the Special Town Meeting. Mr. Matthews reviewed the 5 Articles which will be brought to Special Town Meeting. (See attached) Ms. Bertram noted that ARTICLE 4 which was submitted by the Library Board of Trustees reads that the Board of Selectmen and the Finance Committee recommends approval, but they have not discussed this yet and it should be edited. Mr. Alonzo moved to approve the warrant with the caveat that the errant recommendation line be removed from ARTICLE 4. Ms. Bertram seconded. On vote, motion carried, 4 in favor, 0 opposed. 4. Mr. Matthews stated that BOS has a voice when the School Committee votes on the Teacher's Contract. He said that as they get closer to it they will have a discussion again in Executive Session as to what is involved so it will be the BOS vote as to how they see it and hopefully it will be in relation to how contracts are negotiated on this side. Resignation: Robert Ebersole, Sewer Commission - Mr. Matthews regretfully announce the resignation of Robert Ebersole from the Sewer Commission. He stated that Mr. Ebersole has served the town extremely well by putting in countless hours and helping to move the Sewer Commission in the right direction. Mr. Matthews appealed to any Lunenburg residents who are interested to come forward to fill the gap. Mr. Alonzo added that there have been several openings on different committees where many people have shown interest but were not appointed. He stated the importance of the Sewer Commission and encouraged those people to come forward again. 6. Resignation: Elaine Murphy, Capital Planning Commission - Mr. Matthews announced the resignation of Elaine Murphy from the Capital Planning Commission and said that it is a very important committee and if anyone has an interest in where we spend our capital dollars this would be a great opportunity for them. Mr. Alonzo suggested issuing a letter of thanks to both people who have resigned. He stated that both of them have put in a large number of years and a large amount of effort in furthering the benefits of the town and should be acknowledged EXECUTIVE SESSION - Mr. Matthews moved to go into Executive Session, not to return, per MGL to negotiate or strategize for negotiations. Ms. Bertram seconded. The board voted unanimously to adjourn regular session at 7:27PM. The moment of silence was followed by the pledge of allegiance. 7:00PM PUBLIC COMMENT ANNOUNCEMENTS APPOINTMENTS RECEIVED & FILED OCT 0 4 2012 LUNENBURG TOWN CLERK OFFICE CURRENT BUSINESS 1. Review Special Town Meeting Warrant Articles - Mr. Matthews stated that any further discussions concerning PILOT Agreements need to be discussed in Executive Session due to the fact that the Board is negotiating with two separate developers on two separate plans. He expects that by next weeks' BOS meeting the Board should have a recommendation on which one they would like to pursue and that it ultimately will be decided by the public at Special Town Meeting (STM). Mr. Matthews quickly reviewed the five articles slated for STM to be held on 9/25/12. 2. Ms. Speidel replied that the report is on her desk but she has not yet reviewed it. Mr. deBettencourt requested a status update on a corner bound that was either moved or destroyed on the corner of Airport Rd on the Fitchburg/Lunenburg line which he had previously reported. He also requested an update on the town line sign which was located on the Rt2A between Fitchburg and Lunenburg, which had been destroyed by an automobile accident. He would like to know when it is going to be replaced and if the insurance company will cover the cost. 3. Committee Reports - Mr. Alonzo reported that the Finance Committee will be meeting this Thursday. Ms. Speidel added that Kevin Blanchette from the Worcester Regional Retirement Board will be at this meeting to make a presentation on how the system works and how benefits are granted. Mr. Sund reported that Jo McLaughlin from Public Access Cable Committee is doing a great job with the local programming. The upcoming Homecoming Parade and Football game will be taped and shown on the channel. He was happy to announce that 51% of all programming shown is local programming from Lunenburg. Ms. Bertram reported that she will be attending the Metropolitan Planning Organization (MPO) meeting tomorrow where the topic of discussion will be the Oxbow Wildlife Refuge grant. She said that there are a few more meetings scheduled with MPO and would like updates on planning timelines for the Summer Street project. ===PAGE 2=== Ms. Bertram had also attended the Planning Board Public meeting the previous evening where discussions were held concerning Mass PV1, Arro Estate presentation of plans for a subdivision, Dippin' Donuts Development Plan & Review status, and the possibility of having the School Building Committee meetings televised 4. Department Reports - None 5. Town Manager Reports - Ms. Speidel presented Earth Removal Permits which were previously approved by the BOS for signatures. Ms. Speidel presented a Proclamation honoring Arnold Rill for his 31 years of volunteer services as a "Meals on Wheels" Driver at the Council on Aging for the Chair to read to the BOS. Mr. Matthews stated that 31 years is pretty amazing for volunteer service and apologized for not having presented this Proclamation sooner. OLD BUSINESS APPOINTMENTS/RE-APPOINTMENTS/RESIGNATIONS 1. Extend appointment of Myleen Mallari, Acting Treasurer-Collector to 09/18/12 - Ms. Speidel stated that the committee formed to interview potential candidates for the Treasurer/Collector position has narrowed down the field to three candidates and they have chosen one.. This candidate needs to be CORI checked and Ms. Speidel expects to bring a recommendation to the BOS at the next scheduled meeting. Mr. Alonzo moved to extend the appointment of Myleen Mallari, as acting Treasurer/Collector through 09/18/12. Ms. Bertram seconded. On vote, motion carried, 5 in favor, 0 opposed. PUBLIC COMMENT John Whalen, 526 West Townsend Road, questioned whether or not there were negotiations going on with a proponent of a project that had not been approved yet. Mi. Matthews replied that they are considering and talking about it and won't bring it to STM if there is not an approved plan on file. He stated that as the Chair of this Board, it is his choice to not have it on the agenda previously in either case until there was an approved plan which the Planning Board had put through. In this case it's on the cusp and the opportunity is looking out for the better of the town as a whole. If we can get an opportunity to have two different vendors perhaps there can be more revenue or energy savings for the town. With that all said, if there is not an approved plan two weeks from Tuesday, we will pass over the appropriate articles. Mr. Whalen stated that he is concerned because if you get a better deal from one, and they haven't been approved, they might end up getting approved at Town Meeting because they already have a nice deal on the table. Mr. Matthews stated that the Planning Board is making that decision based upon the special permit requirements which is voted at Town Meeting with the direct input of everybody involved and that is a totally different conversation from right now and that there is no pressure from us to them, and no pressure from them to us. Mr. Whalen said that he just wanted to make sure because when he had asked questions early on in the process last fall, he was told you could not have those discussions until one was already settled. EXECUTIVE SESSION - Mr. Matthews moved to go into Executive Session, not to return citing, to consider the purchase, exchange, lease or value of real property, if the chair declares that an open meeting may have a detrimental effect on the negotiating position of the governmental property. Absent was Steven M. deBettencourt Regular Meeting opened after Executive Session at 7:20 PM with the Pledge of Allegiance. 7:00PM PUBLIC COMMENT ANNOUNCEMENTS APPOINTMENTS CURRENT BUSINESS 1. Review Special Town Meeting Warrant Articles - Richard Mailloux, Vice Chair of the Library Board and Robin Venezia, Library Trustee, spoke on STM Article 4 which asks for the town to vote a supplemental appropriation of $35,598 to the amount appropriated at the 2012 Annual Town Meeting for the operation of the Lunenburg Public Library. Mr. Mailloux explained that the cuts made to the Library budget at Annual Town Meeting put the Library in a tremendous hole and that they are now looking at timelines/deadlines with a State waiver application which is October 12, 2012. If the budget cuts stand they will lose $35,598 and an extra $12,000 in State aide. The Library has reduced hours of operation from 44 - 40 hours which is the State minimum for approval as far as certified libraries go. Mr. Mailloux was hoping that projected revenue coming from the State to the Town of Lunenburg would put additional monies into the final cherry sheet appropriation for the Town and Schools that could be used to reinstate funding to the Library. Mr. Matthews explained that the number coming back from the State was $123,673 between the Town and the School. Last year with all of the changes in Choice and Charter assessments the State took $105,000 from the Town based on change of population and lower enrollments. Mr. Matthews went on to say that he understood the request and would love to support it but based on financial realities of how the State operates and not being able to predict additional spending that may need to be made during the year he could not support this request. After discussion among the board members and the Town Manager they were all in agreement with Mr. Matthews that they support the Library but could not support Article 4. Mr. Mailloux spoke to say that he felt the cut to the Library was disproportionate compared to the other department cuts with the exception of the Council on Aging. He understands the BOS concerns but the October 12" deadline for the waiver is where they are coming from. He stated that the Library offers services to every single resident of the Town from birth till death and for all of the services they provide it is approximately 1% of the Town budget. Ms. Speidel spoke and said that she agreed that the cuts to the Library and the Council on Aging were disproportionate but if you look at what's happened over the last several years these two departments have not been cut and other departments have consistently been cut. She hopes that when the waiver application is filed, the State will look favorably on what the Town has done over the last several years and recognizes that this is the first time it has been applied for here. Ms. Venezia stated that if they do need to submit for the waiver they will need Town input to write a letter to explain the budget process and why it is a disproportionate cut to the Library. Articles 1, 2, & 3 are still being discussed in Executive Session due to the fact that they are still negotiating with two different developers in town. ===PAGE 2=== twenty years or take the chance of that project not being developed and the town gets nothing out of it. PILOT agreement requests are in the range of 12K. per MW - 15K per MW which is still lower than the lower assessment that the Regional Assessor has come up with based purely on the revenue of the project. The BOS are willing to balance some of that against the proposed savings depending on which plan they pursue. Savings to the tax payer, based on a 2MW facility, range from approximately $3.8M to as much as $4.2M over the next 20 years. There is also a limit to how much alternative energy power that Unitil has to buy so if both of the projects were built out fully it would exceed what Unitil is in the market for. Unitil gives the Net Metering deal to who ever is done first. An example being if the town agrees with one supplier and they have completed a day after the other supplier they could be out of the running. Toby Bakaysa, Chairperson of the Planning Board updated the BOS on the status of the project on 651 Chase Rd. The Public Hearing has been completed and they will finalize the Finding & Directives this coming Monday night. He anticipated approval of the Findings & Directives pending no problems arise, after which the developer will be granted their Special Permit and then they will be able to ask for the building permit. This project sits on 110 acres of which 22 acres will be utilized for the project, with two solar fields (10 acre & 3 acre). He stated that 60% of the project land will remain undisturbed and ultimately it will be a 3.1 MW project. Mr. Sund commented in saying that earlier in the year he was somewhat critical of the Planning Board and would like to say that they have done an excellent job and thanked Mr. Bakaysa for all of the work and effort he has put in. Mr. Alonzo commented and said that in their negotiations there is also a possibility that they could split the electric needs of the town and perhaps could come to an agreement with both developers. If the Special Permit goes through potentially both projects could be built and the BOS want to be able to at least provide the clectric benefits that both could bring to the Unitil area. Mr. Sund pointed out that that the projected savings could be $142,000 in year 1 and as you get into year 20 its up towards $235,000 per year which amounts to an extra $100,000 on an increasing scale. He believes that $140,000 could go along way with things like the Library or something else. Michael Borkowski, EPG Solar spoke and questioned the Special Permit being issued for the Chase Rd. project. His understanding is that the permit cannot be issued until the appeal period is expired. He also questioned the other facility being 3.MW and said that it exceeds what the town usage is and wanted to know if that developer had an off taker for the rest of the energy already lined up, seeing that it is a potential risk scenario. Mr. Matthews replied that they have not defined how it would be split yet with the developer. Mr. Borkowski stated that who you can sell that to is limited because of Unitil's cap and that it would not be able to be sold at full percentage amount. Mr. Alonzo replied that the BOS is aware of that cap. Mr. Borkowski commended all of the Lunenburg boards that have worked with this over time for their diligence and thoughtfulness in going through all the different procedures and being able to come to some conclusion on the facility. He is hopeful to work with the Town in the future and said that they are committed to doing what they can to provide the greatest benefits to the Town. Ms. Bertram asked Mr. Bakaysa to clarify how the appeal period works. Mr. Bakaysa replied that once the Directives & Findings a proved they are then eligible for the Special Permit. There is then a 20 day period in which the Special Permit can be appealed. Ms. Bertram questioned for example whether or not they could get a building permit until the appeal period had collapsed. Mr. Bakaysa said that he did not believe that it was technically correct. He believes the law says today, that at the developers risk, they can go ahead and start construction even during that appeal period. Mr. Bakaysa also stated that the EPG project on Pleasant St. has already gone through the appeal period and they have not heard anything in regards to that. John Whalen, 526 West Townsend Rd spoke and said that he had read a document on Solar Power Purchase Agreements, written by a group who do negotiations with solar firms. In it states that there is a 2MW cap for the size of a Net Metering facility unless it's municipal. The 3MW facility on Chase Rd would not be allowed to be a 3MW Net Metering facility ===PAGE 3=== unless there is a municipal slant to it. He is worried that this project is still in the works and the BOS are negotiating money for it and he feels he has been a little "rail roaded" with the negotiations and feels the Planning Board is rushing to get this done in time for STM. He feels concern that possibly the BOS does not understand at this point all of the iterations and benefits of signing a PPA with some of these companies. He believes that it is not possible to put a 3MW facility in that location that's Net Metering and if it's not Net Metering or Municipal then the transition costs need to be paid. He also remains concerned that he has not seen a Conservation Meeting Notice for the Chase Rd project. Mr. Alonzo spoke in saying as far as the Net Metering, the BOS understands the cap that Unitil has and the requirement from the State as to what they can put into their Net Metering facilities along with MW capabilities. The Town entering into a Net Metering or PPA does not make that a Municipal project. A Municipal project, as Mr. Alonzo understands it, is for example a Municipal Light Co.,or if the Town owns the land and actually did the project as a Town. Since the Town is just buying power from it, that limit is up to a cap that the developer needs to follow and those are requirements outside of local control. All the Town is trying to do is to make sure that we know that it is because of its size, Unitil is small enough, that eventually they will be flooded, and meet their 2 or 3% cap quickly. We want to take advantage, if we have these two, to make sure that we get the maximum benefit of that and that somebody doesn't build a facility in our Town where the benefits of the power go to other communities. Mr. Alonzo said that as far as being "rail roaded" he feels the Planning Board has gone through their due diligence. The Conservation Commission has their requirements and it is not up to the BOS to push or not to push them, they have their own process to go through and if there is an objection to how they have done it he would recommend to go to those boards to make that request. Ms. Bertram added that she feels that if Mr. Whalen has concerns he needs to go to those boards. This board is acting to the reality that one project has been issued a Special Permit and another project is close to having one issued. If these projects go forward it would be horrible to her if they did not see the benefits to these projects because the benefits that were outlined earlier a significant. The reality is that we do not have to be the individuals who reach these Net Metering agreements, other communities can take advantage of them as long as they are within the Unitil territory and the people of Lunenburg will have to live with these facilities in their backyards without seeing the financial benefit. It's our responsibility to bring these forward but it is ultimately up to the tax payers whether or not these projects go forward. Mr. Bakaysa stated that there is no rush to the Chase Rd. project, it is just the normal process that we go through. This project which was originally on 651 Chase Rd was brought to us, it had a Development Plan Review prior to the new Bylaw that was in place, and there were Findings & Directives that were done at that time subsequent to our Town Meeting where we adopted a new Bylaw and they were required to come back in under a Special Permit. They repeated the process of holding a Public Hearing and are now in the process of finalizing the Findings & Directives that are relative to the Special Permit. We have reviewed those with our Reviewing Engineer and they are now in Town Counsel's hands for final review. The Conservation Commission is a separate board and they have their own processes that they go through. The Planning Board notes in the background of their Findings & Directives that this particular project, as we understand it today, has not yet brought forth the new plan to the Conservation Commission, nor has it been approved by them. Part of our Directives to them is that it will be noted that no building permit can be issued for this project until we have that Order of Conditions in such from the Conservation Commission. This is just a normal process it's going through and all of the appropriate steps have been taken to make sure that we do the right thing. Mr. Whalen spoke and apologized for using the term "rail roaded" but still thinks it feels like it's a decision that's being made by many different boards, in many different places, discussing many different ins and outs of these projects and seems to be done hastily at the moment. He remains concerned that with the project being rushed, a problem may develop which was not foreseen. He wishes that people had numbers & ideas so people could talk about this publicly to know what they will be voting on at STM. Mr. Matthews apologized that the BOS did not have the numbers & facts for Mr. Whalen and explained that this is an ongoing negotiation and if they are too open in their discussion, the opportunity to negotiate will disappear. Ms. Speidel recapped what was already said this evening saying that there are two important pieces of information to take home this evening concerning the PILOT & PPA. In terms of the PPA our usage is about 2M KW hrs per year. We are looking at an agreement that would net the Town a projected savings of between $140,000 & $180,000 per year, or over the 20 years between $3.7M & $4.2M. In terms of the PILOT agreement the Town is looking to come to an agreement ===PAGE 4=== that represents the full and fair cash value of these projects based on the income approach, which is an accepted approach for valuation of property. She said they will have much more detail for Tuesday's STM. Mr. Bakaysa spoke to clarify that the Chase Rd project is on the same timeline as the EPG project was. From the time they went through the process of the Public Hearing to the issuing of the Special Permit we are on approximately the same timeline. Ms. Bertram reiterated that any PILOT agreement that may be reached will be contingent upon a Net Metering agreement. Greg Bittner, 129 Pleasant St asked it the Town has the ability to solicit PPA's from entities outside of Town. Mr. Matthews replied that if there was another developer this far along that could get a project in the ground ahead of these two developers, so they can get in line first for the Net Metering agreement, sure, but he didn't think there is anything out there. Mr. Bittner asked what is the "100%" that the Town could receive, if there was no PILOT program. Mr. Alonzo replied he would point at the word "could" because there is no solar project which we have assessed anything to so there's nothing to state that we could and there are very few guidelines from the Dept. of Revenue about the taxation of these projects. Mr. Matthews stated that we have looked at what other Towns have done, but its hard to determine what their motivation was, did they really want the projects done and were willing to do it for a lot less or did they just come to a different valuation. Mr. Matthews assured everyone that next Tuesday at STM the numbers will be presented in detail. 2. Committee Reports - Mr. Alonzo reported that the Finance Committee had a meeting on Thursday where they had a Representative from the Worcester Retirement Pension Board who gave a great presentation on explanation of how the pension plans work. He reminded all that the Finance Committee Public hearing will be televised this Thursday at 7PM. Mr. Matthews requested that the BOS be given the highlight sheet from the Worcester Retirement Pension Board presentation because it contained a lot of good information about the how the system works. Mr. Matthews stated that the School Committee met last weekend and spoke about enrollment which will have an impact on the Town with funding from the State. The counts show right now that we are seeing 43 fewer students then actually enrolled last year which equals a 3% drop. The final report on where the students went whether it be private school, charter, other communities, etc will be completed in October. 4. Department Reports - None 5. Town Manager Reports - Ms. Speidel read an announcement from the Town of Shirley regarding road construction work in the Town of Shirley on Catacunemaug Rd. which borders Lunenburg which will have an impact on traffic flow. The culvert and roadway on Catacunemaugh Rd will be reconstructed and the road at its intersection with Leominster Rd will be reconfigured. This will require the road to be closed to traffic from October 9 projected through November 15th. . Lunenburg DPW & Fire Depts have been made aware of this and only emergency traffic will be allowed to pass through this area. Matthews read the Public Hearing notice into record for transfer of a Common Victualer All Alcoholic License being submitted by Asian Imperial Inc., d/b/a Asian Imperial Garden. This license is to be exercised at the premise located at 324 Electric Ave. Kim, Manager of Asian Imperial spoke to the BOS and said that she is requesting a transfer of the liquor license from its current location of 324 Electric Ave to 5 Electric Ave. She anticipates an opening after January 1, 2013. Ms.Speidel stated that the application states the opening as being December 1, 2012. The manager of Asian Imperial said that they wanted to push the opening back due to the Holidays. Hours of operation will also be changed to close at 10:30 PM during the week and 11:30PM during the weekends. Mr. Matthews suggested that due to the difficulty of the entrance/exit to the parking lot alcohol consumption be monitored. Kim replied that they will be doing TIPS Training for all employees. ===PAGE 2=== Mr. Alonzo moved to recommend the approval of the change of location of the liquor license of Asian Imperial d/b/a Asian Imperial Garden from 324 Electric Ave to 5 Electric Ave., effective January 1, 2013. Mr. deBettencourt seconded. On vote, motion carried, 4 in favor, 0 opposed. Richard Martel, 9 Electric Ave voiced his concerns with Asian Imperial's construction process. He stated that they had removed a fence which divided his property from Asian Imperial's and have not replaced it. Mr. Martel claimed that he has tried to speak with Asian Imperial but they do not respond. He is also concerned that there is no control over the traffic situation at that property. Mr. Matthews apologized for not recognizing Mr. Martel before they went for the vote. He stated that if the Order of Conditions set by the Planning Board includes a fence in the plan, then it will have to be there before the Building Inspector or Planning will sign off on anything. Mr. deBetttencourt spoke and said he was at the Planning Board meeting where this was discussed and there is a plan to replace the fence which was removed. He told Mr. Martel that all the BOS is doing right now is voting on the transfer of the liquor license. Mr. Martel was reminded by the BOS to bring his concerns to the Planning & Building Departments. 7:30 PM Class II, Used Car Dealer's License, Double Down, Inc. d/b/a Import Domestic Auto Sales - Due to CORI information not being received from the State, this Public Hearing will be continued at the 10/9/12 BOS meeting. 7:30 PM Pedlar's License, Scott T. Lowe, d/b/a Scott's Doggs - Mr. Lowe spoke to the BOS in saying that he needed permission from the BOS to open his mobile food wagon at the John Deere location on Leominster/Shirley Rd. before he can receive a final inspection from Nashoba Board of Health. Mr. Alonzo moved that the Board approve the Pedlar's License for Scott Lowe d/b/a Scott's Doggs as the application provides for location and hours of operation. Mr. deBettencourt seconded. On vote, motion carried, 4 in favor, 0 opposed. CURRENT BUSINESS 1. Accept Donation of Materials - Ms. Speidel made a request to the BOS, in accordance with M.G.L., that they accept the following gift of materials from Dave MacDonald. Used metal shelving units and related materials to be used at the Department of Public Works. The estimated value of the materials is $3,000 - $4,000. The BOS thanked and commended Mr. MacDonald for his involvement and generosity with the Town. Mr. Alonzo motioned to accept the donation as described by the Town Manager. Mr. deBettencourt seconded. On vote, motion carried, 4 in favor, 0 opposed. 2. Review Power Purchase Agreement and PILOT Agreement for EPG Solar and/or Mass PV1 - Carried over to 10/9/12 BOS meeting. Ms. Speidel reported that Town Counsel along with EPG Solar and Mass PV1 are still working together on making sure everything that was voted on at Special Town Meeting with the PILOT & PPA are reflected in those documents. Documents will be available for the BOS to review before next week's meeting. 3. Committee Reports - Mr. Sund reported that the Cable Committee met last evening and that the upcoming Lunenburg High School Homecoming Parade and Football Game will be filmed then televised in coordination with FATV (Fitchburg Access Television) on October 13t. • He asked if anyone who was attending the events and had pictures they would like to submit, then please do so and they will be televised as well. Mr. Matthews reported that the School Building Committee met last week and that twelve firms gave responses for services & qualifications for owner's property manager for the potential High/Middle School project. They have narrowed the twelve down to four who will be interviewed. 5. Department Reports - None 6. Town Manager Reports - Ms. Speidel informed the BOS that she has received emails asking when Lunenburg Will be connected to Verizon FiOS. Emails Ms. Speidel has received state that Lunenburg has an exclusive contract with Comcast, which is not the case. Any cable provider within a city or town needs to have a license in order to do business, an "exclusive" license is not given. It is up to Verizon, not the Town, to determine when it makes economic sense to build out the Town of Lunenburg and in this economic time it does not make sense for them to do so. Mr. Sund added that he does have FiOS but it is only for telephone and internet, not television, which is not available in Lunenburg. Mr. Alonzo stated that Verizon had done such a "build out" in the entire North East and when the financial collapse happened they needed to put a halt to everything. The MassBroadband Institute, which was formed two years ago, was an initiative formed by the Governor and the State to give a "fiber backbone" to all communities that were under serviced and hopefully will be completed by summer of 2013. This will be for municipal buildings and possibly extended to businesses and homes in Lunenburg. OLD BUSINESS - None APPOINTMENTS/RE-APPOINTMENTS/RESIGNATIONS 1. Robert V. Taylor to the position of Reserve Police Officer - Completed under Appointments EXECUTIVE SESSION - None Mr. deBettencourt moved to adjourn the meeting. Mr. Sund seconded. Bilotta Meeting Room, Towk Hall as scheduled with David Matthews, Paula Bertram, Steven M. deBettencourt, Tom Alonzo, and Carl "Ernie" Sund. Absent was Town Manager Kerry Speidel Regular Meeting opened at 7:00 PM with the Pledge of Allegiance. RECEIVED & FILED 7:00PM PUBLIC COMMENT ANNOUNCEMENTS OCT 2 5 2012 LUNENBURG TOWN CLERK OFFICE APPOINTMENTS CURRENT BUSINESS 1. Class II, Used Car Dealer's License, Double Down, Inc. d/b/a Import Domestic Auto Sales, Continuation of Public Hearing - Mr. Matthews explained that this was a continuation of last week's Public Hearing and that the CORI's which had caused the delay in this process have been received and are in order. Mr. Sund moved to approve the Class II Used Car Dealer's License for Double Down, Inc. d/b/a Import Domestic Auto Sales. Mr. Alonzo seconded. Ms. Bertram noted that she was not present at last week's hearing however she has viewed the C.D. of the last meeting, reviewed the records and feels that she can vote on this matter. On vote, motion carried, 5 in favor, 0 opposed. Ms. Bertram moved to close the Public Hearing. Mr. Sund seconded. On vote, motion carried, 5 in favor, 0 opposed. 2. Review Power Purchase Agreement and PILOT Agreement for EPG Solar and/or Mass PV1 - Mr. Matthews stated that due to the fact that documents relating to this matter were not received until late this afternoon the BOS were not able to review them. The BOS will be unable to move on this matter tonight and it will be acted on at the 10/16/12 BOS meeting. Town Counsel Attorney Richard Holland from Kopelman & Paige was present to answer questions from the BOS. Mr. Sund questioned page 15 Section 13.2 wording concerning the changing of the "customer representative (Town Manager)". Mr. Holland replied that this provision is simply a way of informing the seller of who the contact person is for the Town. Mr. Alonzo stated that for the record it is also the "office of the Town Manager" not just one person. Mr. Alonzo asked for the "marked up" version of the agreements to make it simpler to view the changes. Mr. Holland stated that the changes were inclusion of language at the Town's request to have the capability to sell credits without the consent of the developer provided that those credits were sold to a Municipality or another Governmental Entity. Mr. Matthews questioned page 6 Section 3.2 concerning the Net Metering Credits being purchased by the customer. He stated that it refers to "The customer shall purchase 100% of the Net Metering Credits generated by the solar facility up to a maximum of 1M 800K KW". He said that attachment B states that they are only building 1200KW. Mr. Holland replied that the reference to 1200KW is referred to as the "Name Plate Capacity" of the system. Schedule A lists what they expect the annual production to be in KW hours over the term of the agreement. They expect that the largest annual production would be in year 1, at approximately 1.5M KW hours. The concern that was conveyed to him by the developer was that if the Town was going to "cap" the maximum amount of KW hours, then they would like to make sure, that if they exceed their expected production in year 1 or year 2, that the Town will at least purchase it up to that maximum cap of 1.8M KW hours a year. There will also be minimum facility production requirements worked into the agreement which would be subject to liquidated damages. ===PAGE 2=== Mr. Sund questioned the amount of 1200KW he believes it should be 1M 200K KW which is equal to 1.2M MW. Mr. Holland explained that the reference is to the "name plate capacity of the system" and that's just how it's rated. This means if the sun is shining brightly then the facility should be producing 1200K W per hour. Mr. Sund stated that he still believes that the 1200K W should be 1M 200K KW at minimum production. Mr. Holland replied that this is the correct reference to the rated capacity and it is not intended to depict the annual production of the facility. This is a 1.2MW DC rated capacity and this type of facility located in the Northeast is expected to produce approximately 1.5M KW hours per year. Mr. Matthews referred back to Section 3.2 in saying that their (sellers) indication is that they think out of the 1200KW they could potentially generate 1M 800K KW hours in a year. Mr. Holland replied that it's what they think is "possible" if everything is perfect. Mr. Matthews asked what the impact of this would be when they are looking at the Mass PV agreement which he assumes will be coming soon. He is concerned about working under the Unitil limitation as to how much they need to buy and if it would create limits on the other system, which would limit what the Town could do to max out it's needs as well as reselling some of these credits. Mr. Holland stated that the other developer has requested further revisions to their agreement but they have not gotten to the point yet where this agreement can be presented. Mr. Alonzo questioned if the two facilities combined exceeded the cap what would happen with Net Metering credits and who would intercede at this point. Mr. Holland replied that the utility has to grant Net Metering services for these facilities. When the facilities go through the application process to qualify the utility is going to know where it is in terms of whether these facilities fit within the cap which will be 3% as of November 1st . It these facilities combined are going to exceed the cap, then that full amount generated by the facilities will not qualify for Net Metering services. The agreement clearly states that the Town is not required to pay anything under the agreement unless the Town is receiving these credits on the utility invoice. Mr. Matthews questioned the interconnection agreements. Mr. Holland stated that it was his understanding that EPG has received a form of Interconnection Service Agreement from the utility and EPG is prepared to sign it pending an ability to reach agreement with the Town on a PPA. Mr. Matthews questioned if there was any verbiage included in that agreement that Unitil would buy any "spikes" if they occurred. Mr. Holland replied that this is a form agreement prescribed by the Tariff and he does not know if it contains any such language but essentially the utility is required to pay for the electricity it receives from facilities that qualify for Net Metering services. He would expect based upon his understanding of the current cap this 1.2 MW facility would fit within that cap. In theory everything produced by it, with electricity being sent to the grid, would be paid for by the utility by providing Net Metering Credits. Mr. Alonzo requested clarification on the Town's ability to enter into an IMA with another town or government agency as defined by the DPU. Mr. Holland replied that under this proposed agreement the Town would be host customer on the meter, as required by the regulations, so the Town would own all of the credits produced by the facility. The Town could then sell these credits to another municipality that uses the same utility in the same load zone. The Town does not need Unitil's permission to sell these credits, the Town would only need to file a Schedule Z for the allocation to another municipality. Mr. deBettencourt questioned if the Town would be able to bank the credits if they were not sold. Mr. Holland replied that the credits continue to accrue and roll over and when the Town needs to use them they can. Town Counsel is still waiting on comments from both parties on the form of PILOT agreement and also for more information from the Assessor on the Real Estate side. Mr. Sund requested that the two pages he questioned previously pertaining to KW hours be clarified by next weeks meeting. ===PAGE 3=== The BOS thanked Mr. Holland for answering their questions this evening. 3.
