He was impressed by the entire event and stated he is consistently amazed by how Mrs. Wardwell can organize such wonderful events. Mr. Alonzo reiterated Mr. Matthew's sentiments about the Pop's Concert and Ms. Wardwell. He also reminded the public that the biannual LHS Musical was being put on May 16" musical is The Wizard of Oz. h, and 18" at 7pm in the high school auditorium. This year's Mr. Ebersole thanked the Highway Department for the much needed repaving of Fort Pond Road and stated they did an excellent job. Mr. Alonzo announced that the Town's Memorial Day services are going to be held in Veteran's Park on Sunday, May 26" starting at 11:45am. Mr. Ebersole would be making a speech as a representative of the BOS. Sharon McCullah, Boys and Girls Club of Lunenburg, opened up Public Comment from the public by thanking the BOS for their support in all of the Boys and Girls Club. Ms. McCullah stated that the Teen Center is a much needed service in Town that does not receive much funding, so they often have to fundraise themselves. Such an event was coming up this Sunday, May 19, at the Whalom water front where there would be a 5K race called "Are We There Yet". Additionally, the Teen Center would like to hold a voluntary toll collection on June 1st in the town center and at the intersection of Route 13 and Whalom Road to collect funds for the Teen Center. Mr. Alonzo thanked Ms. McCullah for her work and stated everyone should come out to the SK to support the Teen Center. He also stated that because the Voluntary Toll was not on the agenda for tonight's meeting the BOS could not vote on the toll. However, the Voluntary Toll could be voted on at the next BOS meeting. Chief of Police Marino informed the BOS that the last Thursday of every month from 9am-10am there will be an Open House at the Public Safety Building where the public could come in to talk to the Chief about problems they were having in town. The open house is a means to make the operations at the Police Department more transparent. APPOINTMENTS/RE-APPOINTMENTS/RESIGNATIONS - 1. Samantha J. Hudson, Reserve Police Officer: Chief of Police Marino presented to the BOS Samantha J. Hudson, his recommendation for the role of Reserve Police Officer in the Town of Lunenburg. Chief Marino stated that Ms. Hudson was a graduate of Lunenburg High School, studied abroad in Australia and received her Criminal Justice degree from UMass Lowell. She is also a full time campus police officer at UMass Lowell. Mr. Marino stated that Ms. Hudson is well qualified for the position. Ms. Hudson stated that she wanted to become a Reserve Police Officer in town so she could give back to the community she grew up in and she was particularly interested in forming a mentoring relationship with students in the Luneburg Public School system. ===PAGE 2=== Ms. Bertram moved to approve the appointment of Ms. Samantha J. Hudson as a Reserve Police Officer in the Town of Lunenburg. Mr. Ebersole seconded. On vote mote carried, 5 in favor, 0 opposed. APPOINTMENTS 7:30 p.m. - Joel Bard, Open Meeting Law Seminar.: Mr. Bard began by stating that he was from Kopelman and Paige, P.C., who is the Town's Legal Counsel. He was there to talk about the new Open Meeting Law, which had been in the books for about 3 years, and answer any questions that pertain to the Open Meeting Law. Mr. Bard's presentation was titled "Attorney General's Open Meeting Law Guide" and included sections for: • I Overview What meetings are covered by the Open Meeting Law? What are the requirements for posting notice of meetings? • What information must meeting notices contain? When can a public body meeting in executive session? May a member of a public body participate remotely? What public participation in meetings must be allowed? What records of public meetings must be kept? • What is the Attorney General's role in enforcing the Open Meeting Law? • What is the Open Meeting Law complaint procedure? • Will the Attorney General's Office provide training on the Open Mceting Law? • Contacting the Attorney General? Mr. Matthews asked if the email he had sent to the BOS for their review containing his outline for an Ad Hoc Building Reuse Committee was a violation of the Open Meeting Law. Mr. Bard stated that it was in violation of the law. Mr. Matthews said that no member of the BOS discussed what he sent them and he specifically stated they should hold their opinion until the Public BOS meeting in the e-mail. He asked Mr. Bard to clarify that if despite his instructions, which the BOS followed, not to discuss the outline, he was still in violation of the law. Mr. Bard stated that it was still a violation of the Open Meeting Law. Ms. Speidel stated that in this particular instance the outline distributed by Mr. Matthews was attached to the BOS's agenda packet. She asked Mr. Bard if this still constitutes a violation of the Open Meeting Law since it was sent from the Town Manger's e-mail attached to an agenda. Mr. Bard stated it would probably still constitute a violation. It was in a grey area because it was provided by a non- member of the board but it was probably still in violation of the law. Ms. Bertram asked Mr. Bard if one of the members of the BOS provides something to the Town Manager that is meant to be placed on the agenda or talked about at a meeting, and this is distributed out by the Town Manager, is this still in violation of the law? Mr. Bard stated that if the additional information is not identified as something that was provided by a member of the board it may not violate the law, but probably it was still in violation. Mr. Ebersole stated that this part of the law does not provide ample préparation time for discussions on different issues if the BOS cannot receive materials in advance of a meeting. Ms. Bertram asked Ms. Speidel if the Town Clerk receives the agenda packet for BOS meetings or if they are just sent to members of the BOS individually. Ms. Speidel stated that the packet itself is distributed to members of the BOS and the staff of the BOS. Just the finished agenda is sent to the Town Clerk and anyone else who requests a copy. Ms. Bertram asked if the agenda was available to the public as a whole. Ms. Speidel stated it was available but through the Selectman's office and not through the Town Clerk's office. RECEIVED & FILED MAY 2 2 2013 LUNENBURG TOWN CLERK OFFICE ===PAGE 3=== Mr. Bard discussed the posting of meeting agendas, which need to be publicly posted 48 hours in advance before a meeting. These 48 hours do not count Saturdays, Sundays, or public holidays. Agendas must be posted in a way that is conspicuously visible and available to the public at all hours. Ms. Speidel stated that even though the Town is closed on Fridays, Friday still counts as a day where agendas can be posted. Mr. Ebersole asked of the Attorney General had been notified that the Town posted the agenda online. Ms. Speidel stated that the agenda is posted in front of the Town Hall on the all-weather meeting board and that the posting on the Town's website was not in lieu of an agenda being posted outside the building. Ms. Bertram asked that if the BOS was going to executive session, did they need to announce what the executive session was going to discuss. Mr. Bard stated that they would have to announce why the BOS was going into executive session, but the announced purpose of the Executive Session should not reveal or compromise the purpose of the Executive Session. The Executive Session should be called by roll call vote and the Chair must announce if the board was going to return to normal session after Executive Session. Mr. Alonzo asked if there is anything that is required to be discussed in Executive Session. Mr. Bard stated that off the top of his head he does not believe there is anything that is required to be discussed in Executive Session. Mr. Ebersole asked if a negotiation was happening in Executive Session, that did not have to do with a union contract or collective bargaining agreement, for example the purchase of a truck for the Town or an Inter-Municipality Agreement, would they be able to negotiate in Executive Session? Mr. Bard stated that those negotiations were fine but he could not think of a circumstance where such discussion would need to be in Executive Session. Mr. Bard stated that in concerns to specific issues like license or permit reviews and renewals, an agenda for any meeting must specifically list every case in which a license or permit is being discussed in the agenda and make it accessible to the public. Mr. Alonzo stated that this seemed like an incredible overreach since there are some meetings where there could possibly be hundreds of license or permits being renewed and this would make any agenda hundreds of pages long. Richard Mailloux, 88 Laurel Lane, member of the Library Board of Trustees, stated that this rule was established because if a specific permit or license renewal was not listed, and there was someone in the town who was against an individual or a business receiving said license or permit, then that citizen of the town was at an information disadvantage and the town did not adequately inform the public. Mr. Bard stated that a notice needs to be given if a public meeting is being recorded in any way. Mr. Alonzo asked if this included the BOS meetings or any other Town meeting that was being televised on the community access channel. Mr. Bard stated that it should be announced at the beginning of every meeting. Ms. Bertram asked Mr. Bard that in concerns to Remote Participation of board members in meetings if a Chairperson could participate as the Chairperson remotely. Mir. Bard stated that the Chair could participate but the designated board member who fills in during a Chairs absence must run the meeting as if the Chair is not present. Mr. Bard informed the board that is was up to the Chair of each committee to make sure the agenda is in order and posted properly. RECEIVED & FILED MAY 2 2 2013 LUNENBURG TOWN CLERK OFFICE ===PAGE 4=== Ms. Bertram stated that in light of the presentation on the Open Meeting Law, it was crucial that this information be distributed to members of every Board and Committee in the Town. The BOS thanked Mr. Bard for his presentation this evening. ... CURRENT BUSINESS 1. Building Reuse Committee - Mr. Alonzo brought up the Ad Hoc committee that Mr. Matthews had proposed as a way of identifying all possible reuses of the Passios Building. Mr. Matthews had sent around a document that fleshed out the purpose of the Ad Hoc committee. The committee would look at all possible reuses including public and commercial use. Mr. Toale stated that the committee should also look at other buildings in town instead of just focusing on the Passios Building since whatever option is taken on the Passios Building it will affect other buildings in town. Ms. Bertram echoed what Mr. Toale proposed with the committee looking at all other buildings in town. She stated that the committee needed to also identify the existing need for space for Town Departments and the public. Mr. Ebersole agreed that the committee should look at all existing Town buildings but the committee has to prioritize buildings and must make the Passios Building the number one priority before looking at any other buildings in town. Additionally, the committee should also look at the option of demolition the Passios Building, which would cost between $750,000.00 and $1,000,000.00, and compare the cost of demolition to the cost of any repairs and reuses of the building. Mr. Alonzo read a list of purposes for the Ad Hoc committee from the document that Mr. Matthews prepared. These purposes included: 1. Identifying the space requirements for potential combined municipal operations. 2. Identifying costs to convert to municipal space. 3. Identify 5-10 year capital costs to retain existing Town Hall, Ritter Building, Eagle House, etc. 4. Identify appropriate options for sale or lease of facility-housing, office, commercial with the facility's proximity to the schools, library, and town center. 5. Identify potential reuse or market for any building emptied by the consolidation with value appraisal to help quantify revenue to defray costs of consolidation if pursued. Mr. Ebersole asked if the Ad Hoc committee would play into the Open Meeting Laws. Mr. Alonzo stated that the committee will be playing into the Open Meeting Laws regardless if it has to or not. The committee will have televised meetings, public hearings, and overall be a transparent committee. Ms. Bertram stated that there was a lot of work to be done by the 9 members of the committee and suggested that there would be a need for small sub-committees within the Ad Hoc committee itself. Mr. Alonzo agreed with what Ms. Bertram said and stated that the 9 committee members should have expertise in many areas of Town business. The breakdown of the 9 members would include 1 member from each the Planning Committee, the Council on Aging, the finance Committee, the BOS, and the School Committee, with 4 citizens at large with a relevant background and experience that should include architecture, commercial construction and trades, appraisers, structural engineers, etc. Ms. Speidel asked what the time table of the committee's recommendation would be and suggested it should coincide with the Special Town Meeting that would be called to vote on a new 6-12 school building in the town. Mr. Alonzo stated that would be the goal of the committee so that while a new school building was being proposed in the fall to the Town, an explanation would be provided to the Town regarding the Passios Building and what purpose it would serve in the future. Ms. Bertram asked if there had been any talent bank forms submitted for roles on the committee. Ms. Speidel stated that some forms had been submitted after Town Meeting, but that didn't necessarily mean that those forms were specifically for the Ad Hoc committee. RECEIVED & FILED MAY 2 2 2013 .:RG TOWN ===PAGE 5=== Mir. Toale suggested that a specific talent bank form be created for the Ad Hoc committee, since there was a very specific set of skills that an at large member of this committee should possess. Pat Slattery, 139 Leominster Road, Chairman of the Historical Commission, urged the BOS to consider making a member of the Historical Commission a sitting member on the Ad Hoc committee since the Town center and the buildings within it are considered part of a National Registered Historical District. Mr. Ebersole stated that it would be a good idea to include a member of the Historical Commission on the committee because if the Town uses any State or Federal funds, any reuse of the building would be subject to review by the State Historic Commission. Ms. Bertram stated that it makes sense to have a member of the Historical Commission be a sitting member on the board and reduce the at-large members of the committee to 3. Mr. Alonzo entertained a motion of the creation of the Building Reuse Committee with a membership of 9 people including a representative from the Planning Committee, the Council on Aging, the Finance Committee, the BOS, the School Committee, and the Historical Commission with 2 citizens at large who possess relevant skills. Mr. Matthews so moved the motion. Ms. Bertram seconded the motion. On vote motion carried 5 in favor, 0 opposed. Mr. Toale volunteered to be the representative of the BOS on the Building Reuse Committee. Mr. Ebersole nominated Mr. Toale to represent the BOS on the Building Reuse Committee. Ms. Bertram seconded. On vote motion carried, 5 in favor, O opposed. Mr. Matthews stated that the Town Clerk needed to be aware of the meeting and that the beginning stages of funding any sort of research done on the Building Reuse Committee needed to go forward. Additionally, the committee must be made aware that their proposal for the Passios Building needed to be ready by the Special Town Meeting in the fall. 2. Minutes/Warrants/Action File Issues Minutes: 5/7/13 Warrants: 5/14/13 #61-13 $1,601.290.32 4"' Quarter Water Department Commitment $4909.20 Mr. Ebersole requested a map of where the Water Department is serving compared to the Water District. Ms. Speidel said she was not sure if there was an official map but could provide the BOS with such a map. Action File Issues: Mr. Matthews stated that the Cemetery Tool Shed was designated a Historical Building and needed to go through a proper review before demolition. He asked if the Cemetery Commission had proceeded with the proper route to demolish the building. Ms. Speidel stated that she believes the Cemetery Commission has moved forward on the issue. Mr. Matthews asked for an update on the Open Space Plan in Town by the Open Space Committee and what lands are being looked at for potential purchase by the Town and a plan for the use of any open space in Town. He asked when a recommendation would come out of the Planning Board for review by the BOS. Ms. Bertram stated that the Open Space Plan is a component of the Town's Master Plan. The Open Space Plan was discussed by the Planning Committee and the Open Space Plan does meet all requirements by law. She stated that when a parcel of land comes out of Chapter it makes sense for the Town to already have a plan for the land. Ms. Bertram suggested the BOS should invite the Open Space Committee to a BOS meeting for an update. Ms. Bertram stated that the Montachusett Regional Planning Commission has a program called Mr. Mapper which maps the trails and paths in the Town for free. Mr. Ebersole stated that the BOS should have a liaison to the Library Committee and the Board of Health. ===PAGE 6=== Mr. Alonzo stated that they had never had a liaison from the BOS to these groups, mostly due to time constraints on behalf of the BOS. If someone wanted to volunteer to be the liaison to these groups that would be fine with Mr. Ebersole volunteered to be the liaison from the BOS to both groups. Mir. Alonzo said that would work out well and thanked Mir. Ebersole for volunteering to be the liaison to the Library Committee and the Board of Health. 3. Committee Reports : Mr. Matthews stated that the School Building Committee had met last Wednesday. The biggest point of discussion was working with the MSBA and their schedule. There had been some slippage on the MSBA side and they School Building Committee did not want to fall behind schedule and potentially lose an entire year with the new school. Ms. Bertram stated that the MPO met to talk about the Summer Street project. The 2013-2014 TIP was released for Public Comment. The TIP is located on the MRPC web site for Public Comment. The next meeting of the MPO will be the second week of June where they will be finalizing and voting on the plans for the Summer Street project. Summer Street was included in the TIP for the 2017 funding year. She is set to meet with all those involved with the Summer Street project in the summer. There was also discussion during the meeting about a new program called the Transportation Alternatives Program. The program just started out and has funding of about $75,000.00 per year. The program targets non-Federally funded transportation projects. She stated that it is an interesting program that the Open Space Committee should look at for projects in Lunenburg. Ms. Bertram said she was not able to attend the Planning Board meeting. Updates from the meeting included the welcoming of 2 new members, lawsuits filed for all 10 subdivisions associated with O'Brian Homes, the tanks are in the ground of the gas station planned for Leominster-Shirley Road, Emerald Place is taking care of the interior roadway which needed repairs and stated there were no plans for additional buildings until the market got better, the building of Tri-Town Landing is continuing, there was discussion about the parking and egress problems at Asian Imperial restaurant and discussion about the possibility of solar farms on Chapter land. Mr. Alonzo had a follow up question regarding Tri-Town. Tri-Town which was built under 40R and 40S and was supposed to include extra funding for students and asked if the Town had ever seen any extra funding. Ms. Speidel stated that no funding has been seen separated out and had asked the Planning Board Director to follow up on this matter. Ms. Bertram stated that she had heard that the Town was not qualified for extra funding under 40S, and would like clarification on this from the Planning Board Director. Ms. Speidel stated that we had filed the application as soon as the Certificate of Occupancy was issued and based on the date of that certificate we were not eligible for the 40S funding the first year. She stated that she thought there may have been an increase in Chapter 70 funds, but there was nothing significantly indicating that this had happened. Ms. Speidel will research this matter further. 4. Town Manager Reports or Department Reports - None. PUBLIC COMMENT- Ms. Bertram suggested that the BOS schedule a policy and procedure workshop, and that the new members of the BOS be issued a copy of the current policy and procedure handbook. EXECUTIVE SESSION - Being no further business, Mr. Alonzo moved to enter into Executive session citing M.G.L. Chapter 30A, Section 21A (9), to discuss strategy with respect to collective bargaining or litigation if an open meeting may have a detrimental effect on the government's bargaining or litigating position, and the Chair so declares. Ms. Speidel stated the Executive Session was going to review the proposed Memorandum of Agreement between the Town and the Lunenburg Public Employees Committee in concerns to health insurance. ===PAGE 7=== Mr. Alonzo stated they would not be returning to open session and asked for a roll call vote. Roll Call vote: Matthews - Aye, Bertram - Aye, Toale - Aye, Ebersole - Aye, & Alonzo - Aye Regular scheduled meeting ended at 9:39PM. CURRENT BUSINESS 1. Proclamation: National Emergency Medical Services Week, May 19-25, 2013- Mr. Alonzo read a proclamation that made the week of May 19th-25th National Emergency Medical Services Week. See attached Proclamation. 2. Achievement of Fire Chief Credentialing Status, Patrick A. Sullivan- Ms. Speidel read a letter from the Massachusetts Executive Office of Public Safety and Security, Fire Service Commission, that highlighted Fire Chief Patrick A. Sullivan's voluntary participation in a Fire Chief Credentialing process that, when finished, awarded Chief Sullivan the level of Fire Chief. Please see attached letter. Chief Sullivan spoke and explained that the credentialing process involved extensive training, advanced education and professional development, plus years of service. He stated that the ultimate goal was to get every Chief certified. Mr. Alonzo thanked Chief Sullivan for his service, dedication, and leadership on behalf of the BOS. 3. Request for Voluntary Toll by Boys & Girls Club of Lunenburg, 6/1/2013- Mr. Alonzo explained that the Boys & Girls Club of Lunenburg holds an annual voluntary toll at the intersections ===PAGE 2=== of Mass Ave. & Main St. and the intersection of Route 13 and Whalom Road. He stated that the BOS needed to approve a toil to be held on Saturday, June 1, 2013. Ms. Bertram moved to approve the request by the Boys and Girls Club of Lunenburg to hold a Voluntary Toll on June 1st. Mr. Matthews seconded. On vote motion carried 5 in favor, 0 opposed. 4. One Day Wine & Malt Beverages License, St. Boniface Church 6/14/13- Ms. Speidel explained that this request is sent in annually to support the Italian Festival the church holds. There has never been any issues in the past, all of the correct paperwork has been submitted, and the Police Chief has reviewed and approved the request. The particular license at hand is only to be approved for non-profits and must be renewed for every event it is needed at. Mr. Ebersole asked if any proof of insurance had been submitted by the church. Ms. Speidel stated that no proof of insurance had been submitted and it is not part of the requirements when applying for the license. Mr. Ebersole said that this issue might be something the BOS wants to review when they review liquor licenses in the future. Mr. Ebersole moved to approve the One Day Wine & Malt Beverages License for St. Boniface Church on June 14th. Mr. Matthews seconded. On vote motion carried, 5 in favor, 0 opposed. 5. BOS Goals & Objectives- The members of the BOS exchanged their individual lists of goals and objectives for the BOS. Mr. Ebersole explained his goals as starting with finalizing the BOS's policies such as how hearings are held, the process by which appointments and re-appointments are made, performance review process, a process explaining how to except gifts and grants, and a process to review and sign off on policies each year. He also stated that he was interested in building maintenance review for all Town buildings, open space committee, a review of Chapter Property not owned yet by the Town, reviewing the Town Charter and Bylaws, reviewing license fees, performance based reviews for all Town employees, the Town website should include a strategic plan for what's needed from each department and what services they can provide, and identification and review of the Town boundaries by the BOS and the Town Manager. Ms. Bertram stated that her goals and objectives were very similar to Mr. Ebersole's, specifically policies and procedures practiced by the BOS. She also listed increased focus and discussion on policy that would expand the Town's economic development and vitality with the Town Manager, Finance Committee, and the Capital Planning Committee to help increase tax revenue, creating an inventory of the chapter land, improve communications with Town boards and committees, implementation of annual identification and adoption of Department Goals and Objectives for various Town departments/committees, engage professional assistance to codify the General Bylaws, and ensuring seminars held by Town Counsel annually in accordance with the contract so that employees are aware of changes in law and staff has a regular opportunity to interface with counsel free of Mr. Toale stated that his goals could be defined in the acronym S.M.A.R.T.; Specific, Measurable, Attainable, Relevant, and Time bound. He noted that the acronym could be expanded to S.M.A.R.T.E.R., with the addition of Evaluate and Re-evaluate. Mr. Matthews stated that his goals are similar to other members of the BOS but that the most important one to him is the policy manual, the building maintenance review, and the evaluation forms for the Town Manager. ===PAGE 3=== Mr. Alonzo also stated that many of his goals had already been stated, but he stressed the Town Manager evaluation redesign, and reviewing all other boards, committees, and meetings so that every group was on TV for a regular broadcast so that the public could see what they do. Mr. Alonzo opened up for discussion all the goals that the BOS suggested and recommended that they try to narrow down what was suggested to 10 specific goals and objectives. Mr. Alonzo stated that the top priority really should be to complete the Policies and Procedures manual and that it is required by Mass. General Law. Ms. Bertram recommended the seconded goal should be the identification and recommendation on all Charter Land located in Town. Mr. Ebersole agreed and stated it should be fairly easy to accomplish if we recruit the appropriate committees to help. Mr. Alonzo agrees but stated that this issue really comes under the the Planning Board, Conservation Committee, and Open Space Committee. Ms. Bertram agreed, but stated the reality is it is up to the BOS to make any recommendation on chapter land, so therefore it is relevant for the BOS to make it a goal. Ms. Speidel asked Ms. Bertram to clarify that her goal is to create a matrix of all available Chapter Land in Town so that the BOS could quickly reference it if a recommendation ever came before the BOS. Ms. Bertram said that was her goal. Ms. Speidel stated that the Board of Assessors actually maintains that designation, so they can easily provide this information to all relevant boards and BOS meetings. Mr. Matthews requested that the Open Space Committee appear before the BOS for an update. Mr. Alonzo stated that every member listed the Charter and Town Bylaw review as the third goal for the BOS to set out to accomplish. He stated that these laws should be reviewed every 10 years, and the Town had approached that 10 year review time again. Mr. Ebersole stated that the Bylaw review timeline coincides with Ms. Bertram's codifying General Bylaws. Mr. Alonzo stated that they needed to be careful with changing Bylaws because Bylaws have to go before Town Meeting to be changed Ms. Speidel stated that it was extremely important for the Bylaws to be codified and could cost as much as $10,000.00. Codifying the Byaws should be programmed into the budget but currently is not, but might be something she can scrape together $10,000.00 before the end of this fiscal year to do. In codifying you can put up all laws and minutes online and make everything much more accessible. hesitates to take on this goal since the Town Clerk is an elected position. She would be happy to work with the Town Clerk to take on this goal together though. ===PAGE 4=== Ms. Bertram stated that the performance based review for all Town Employees should be a Town Manger's goal as well, with assistance from the BOS. Mr. Ebersole suggested that a Town Sub-committee might be able to assist Ms. Speidel in this goal. Ms. Bertram stated that Mr. Toale would be helpful to Ms. Speidel with this goal as well since he has a background in human resources. Mr. Toale stated that he would be happy to help. Ms. Speidel stated that an Economic Development Task force would be an excellent thing to look into for the town. Members of the community would be very interested in this Task Force. She stated that Fitchburg State University has an Economic Development group that might be able to provide an intern to help out with this task force. Ms. Ebersole stated that the Building Maintenance Reuse plan needs to include who is maintaining Town buildings. Mr. Alonzo stated that there are already people to go to in this situation, John Londa for all school buildings, and the BOS and Town Manager for all other municipal buildings. Ms. Bertram stated that there was a need for clarification about who to go to, the BOS or the Town Manager. Mr. Matthews stated that per the Town Charter it was clearly a Town Manger responsibility. Ms. Speidel stated that facilities looks at all issues and prioritizes them when it comes to maintenance on Town buildings. Ms. Bertram stated that it should be a Town Manger goal to develop a Facility Maintenance Plan with clear departmental goals and objectives. Mr. Alonzo stated that another goal that stands out is the Town Website. He stated that at a minimum the BOS has to establish what absolutely has to be on the website so that departments and committees know what has to be on the website. Mr. Ebersole agreed but he stated that part of it is establishing who exactly is in charge of the website so that updates could be made. Ms. Speidel stated that the maintenance of the website is done by IT Director and herself and that they are the Administrators of the website. She stated that since the IT Director does most of the maintenance on the website it should be up to the IT department to develop a policy about how updates to the website are requested by individual Town departments, committees, and boards. Ms. Bertram agreed that this was a Department opposed to a BOS goal, although the BOS could dictate what has to be listed on the website by each department. She stated that the recommendation for the Town Manger was to review the IT policies to conform to current laws and regulations because the Town has an IT policy that is outdated. Mr. Alonzo agreed but stated that IT and website maintenance are two different issues. He has no problem pushing down policies but he doesn't want the IT director to decide what goes on the website. ===PAGE 5=== Ms. Bertram stated that she's fine with a framework, but when it gets deeper into issues on Open Space Plans and Capital Planning, there might need to be a Computer Advisory Committee created to establish what needs to be on the website. Mr. Alonzo stated that he was all for taking this issue out of the BOS hands, and a committee can recommend specific things to place on the website to the BOS. Mr. Ebersole said that the website also flows into Economic Development since a Town's website is the window into how a Town operates. Mr. Matthews stated that who implements content on the website by departments needs to be established Mr. Ebersole stated that it makes sense, but some committees and boards don't want to put things on the website because they are not ready for a website yet since they are just designs or ideas. Mr. Alonzo agreed but stated that guidelines about what absolutely needs to be on the website still needs to be specified by the BOS but that the implementation of content stays with the department. Ms. Bertram stated that it was also important for departments, boards, and committees to provide their own goals and objectives for the year. Ms. Speidel stated that she would like the goals and objectives of departments to fall under her Town Manger goals list. Ms. Bertram stated another goal of the BOS should be to require recurring updates from departments and committees. Mr. Alonzo stated that he has five goals for the BOS which are: 1. Finish BOS Goals and Policies Manual 2. Creating a list of Town Own Land and Charter properties 3. Economic Development Plan 4. Reinstating Communication between Committees and Departments 5. Town Website 6. Town Manager Goals and Objectives- Ms. Bertram stated that she would like to see quarterly budget updates with an executive summary, conduct a budget retrospective, departmental operations, review IT policies and make necessary changes to conform to current laws/regulations, Provide quarterly status of all ongoing legal issues, and provide quarterly updates on goal progress. Ms. Speidel stated that the Town Accountant is an employee of the BOS, and that she should also be someone who has a responsibility to update the BOS periodically on Town financial business. Ms. Bertram stated that the BOS should ask for quarterly updates from both Town Counsel and the Town Accountant because it is one of their tasks. Mr. Alonzo suggested that the task shouldn't necessarily fall on just the BOS or just the Town Manager, but that the BOS should have the Town Manager send out an e-mail quarterly requesting an update from Town Counsel or the Town Accountant with the BOS CC'd on the e-mail. He stated that he doesn't want to receive financial or legal updates just from the Town Manager and that having Town Counsel and the Town Accountant come in to provide updates themselves allows for a check and balance system. ===PAGE 6=== Ms. Speidel suggested that Town Counsel report semi-annually because there just isn't enough to report on to make a quarterly report worthwhile. Ms. Bertram stated it would also be good for the Town Manager to continue exploring training and education seminars for the BOS and Town departments. Mr. Toale stated that he would like to see creative ways to look at and plan for future positions, additions, consolidations, or eliminations. Mr. Alonzo stated that the IT policies in the codified Bylaws is something else that was brought up by Ms. Bertram in relation to the Town Manger's goals. Mr. Toale asked if the IT policies wasn't a department head goal instead of a Town Manager goal. Ms. Bertram stated that she would be fine with it being a department goal, but all department goals fall under the purview of the Town Manager so she would also like to make it a specific Town Manager goal. Mr. Matthews asked how the IT director was going to advise on new and current laws. Ms. Speidel said that the Towns insurance company regularly puts up law and policy reviews including IT policies. Mr. Alonzo suggested that it would be the responsibility of the IT Director to research new laws and policies and suggest them as changes the Town Manger should adopt. Mr. Matthews asked if the IT policies were currently BOS policies or Town Manger policies. Ms. Speidel stated that the only IT policies the Town has are BOS policies. She suggested that this was because the IT policies are so old that they would have been originally proposed and overseen by the BOS. Ms. Bertram stated that she believes IT policy is still a Town Manger goal because she oversees the departments and it is up to her to delegate the goals to individual departments. Mr. Alonzo stated that he would include IT goals as a sub goal for the Town Manger since there was overlap between the goals of the Town Manger and the IT Director. 7. Finance Committee- Mr. Toale reported that he had a conversation with the Chair about his ability to participate and the Chair was fine with partial attendance but he did want Mr. Toale to be in constant contact with the committee. Library- Mr. Ebersole reported that the Library Board of Trustees met and started reviewing their goals for the year along with updating their website. MRPC/MPO- Ms. Bertram reported that MPO is not meeting this week so she has no report. She did say that she is not a liaison with MRPC and she doesn't believe the BOS has a liaison with the MRPC. Ms. Speidel stated that she included the MRC due to the Open Meeting Law but that it does not need to be included and no report is needed on the MRPC. PACC- Mr. Ebersole reported that PACC is meeting in June. School Committee- Mr. Matthews reported that the School Committee met the previous week and has not had an opportunity to assign someone to the Building Reuse Committee. School Building Committee- Mr. Matthews reported that the committee hasn't met recently and won't be meeting until June. Sewer Commission- Mr. Ebersole reported that the Sewer Commission will be meeting on the last Tuesday of May. 9. Town Manager Reports or Department Reports- Ms. Speidel stated that she sent out information on the Municipal Electrical Aggregation plan to the BOS and was able to secure a bid just below the basic service rate and she did accept that bid. A press release will be sent out announcing that people can enroll in this program. The rate provided in the bid will be provided for at least 6 or 12 months. There is some time for the BOS to decide whether or not to keep with the program for all 12 months. Ms. Toale asked if it was possible that anyone else will bid during the 12 month period. Ms. Speidel replied it would be unlikely anyone would be, if the Town accepted that 12 month bid. Mr. Ebersole asked if Ms. Speidel could provide more information about individuals in Town opting out of the program. Ms. Speidel replied the information Mr. Ebersole asked for was on the company's website. OLD BUSINESS - None PUBLIC COMMENT - Mr. Alonzo stated that the Finance Committee review committee will be meeting the following Tuesday at 6pm to review applicant submissions to the Finance Committee. Mr. Matthews asked if an update could be provided on the Tax Title Liens Ms. Speidel stated that that would be a good thing for the Town Account to provide, but that she could include it on a future meeting agenda. Mr. Toale questioned why the PACC donation was not included on the agenda. ===PAGE 8=== Ms. Speidel stated she received the donation letter, but that she did not receive it in enough time to include it on the meeting agenda. Ms. Bertram asked for an update on the property of 950 Mass. Ave. Ms. Speidel stated she was going to meet with an LSP who has offered his services to the Town, he will look at the property, and put together a report combined with a few other issues the Town is facing. Ms. Bertram stated she would like to see an environmental impact report as well on the property. APPOINTMENTS/RE-APPOINTMENTS/RESIGNATIONS - None Being no further business Ms. Bertram moved to adjourn the meeting. Mr. Matthews seconded. On vote motion carried, 5 in favor, 0 opposed. Bilotta meeting room at Town Hall as scheduled with Tom Alonzo, Paula Bertram, David Matthews, Robert Ebersole, Jamie Toale and Town Manager Kerry Speidel. Regular Meeting opened at 7:00 PM 7:00PM PUBLIC COMMENT Mr. Alonzo began the meeting by explaining the BOS was already in session because the meeting began at 6PM so that an update could be given to the BOS by Town Counsel on the Solar Panel Project in Town. Mr. Alonzo thanked the American Legion and Doreen Noble for the Memorial Day Services held on Memorial Day. Mr. Matthews noted that an agreement was come to with the Public Employee Union that helps contain health insurance costs. The agreement will last until June 30, 2016. Ms. Speidel stated that the agreement is essentially an extension of the current contract but includes a tiered system. She noted that the Town will be saving significant money in the coming years, possibly up to $600,000.00, and prescription drug care will go through Medicare as opposed to the own. APPOINTMENTS 7:00 p.m. Bangkok Hill Restaurant, Request for Approval of BYOB - Mr. Robert Bowen, representing the Bangkok Hill Restaurant, had read through the terms issued by the Town to qualify for a BYOB restaurant and agreed with those terms. He stated that this would be a temporary thing, since the restaurant was seeking a full time liquor license. Ms. Speidel stated that permit would expire Dec. 31, 2013 or at the issuance of a liquor license. She stated this language was listed on the application for the BYOB Permit. Ms. Bertram stated that if this language was not listed on the permit and only listed on the application, there would be a problem. She requested that the language regarding the liquor license be included on the permit. Mr. Toale asked if, under provision 3C, it was OK to approve the expiration of the Permit at the issuance of the Common Victualler License. Mr. Bowen stated that he would be OK to waive this provision. Ms. Bertram stated that she thinks it is an add provision and would be willing to waive the provision. She also noted that in reviewing the policy manual this issue should be reviewed and updated. Mr. Alonzo stated he was happy with the provisions so long as Bangkok Hill returns the BYOB permit as soon as they are approved for a liquor license. Mr. Ebersole moved to approve the request for a BYOB permit at the Bangkok Hill Restaurant with a waiver of section 3A, and subject to the requirements stated in their application that the license will expire on Dec. 315 or ===PAGE 2=== at the issuance of a liquor license. Ms. Bertram seconded the motion. On vote motion carried, 5 in favor, 0 opposed. CURRENT BUSINESS 1. Accept Donation, Carpet for PACC Studio-Ms. Speidel explained that a donation of approximately $500.00 worth of carpet was made to the PACC Studio by Mr. Dave McDonald. The BOS must accept the donation on behalf of the town and PACC. She stated that a letter was sent by Lance D. May, Chairman of the PACC, explaining the donation. Mr. Matthews stated that he was thankful and welcoming of the donation, but in the future he believes the process of donating anything to the Town should be made much easier. Mr. Ebersole moved to accept the donation of carpet for the PACC Studio. Ms. Bertram seconded. On vote motion carried, 5 in favor, 0 opposed. 2. 12-month Contract with Dominion for Municipal Aggregation Plan- Brian Murphy, Colonial Power Group, reviewed the history of the Town's relationship with Municipal Aggregation Plan. He stated that on May 16" Ms. Speidel agreed to a contract with Dominion Energy Services which is valid for one year but that the price is only known for the next 6 months. If Dominion can beat the next Unitil service rate, they can continue on with the contract. If Dominion can't beat the service rate, they can place the customer back on regular service. If a consumer wished to leave the agreement, they are free to do so. Mr. Alonzo asked if someone had opted out of the initial aggregation plan, did they also opt out of the current aggregation plan. Mr. Murphy stated that those who opted out of the plan in 2011 were not invited into or informed of the the new aggregation plan. If a member of the town who had initially opted out wanted to join the plan again, they could do so but would have to rejoin the aggregation plan. Mr. Murphy noted that the role of Colonial Power Group was to be a liaison to those who are using the service. They are there to answer questions and address concerns from those enrolled in the aggregation plan. Up to this point, only 4 people had contacted the group from the town about the plan, and only 4 people had opted out of the plan in its second phase. The Town can look to set a long term rate or ladder in purchases, all to make sure that the Town is receiving the best deal it can. Ms. Speidel asked if the Town still has the opportunity to buy energy for 7.75 cents for the second half of the agreement Mr. Murphy replied that the Town did not agree to that rate in the contract. Mr. Toale asked how the laddering strategy works for individual consumers. Mr. Murphy replied that the laddering strategy is open to the consumer and a consumer can stay with the program or opt out of it. The Town could put some limitations around a laddering program. Mr. Matthews asked if the communication issues had been solved from the previous agreement with Conn Edison. Mr. Murphy stated that those communications issues had been solved and that those issues were the fault of Conn Edison. New provisions had been placed in the agreement with the Town that prohibited the energy supplier from contacting any individual consumer without the approval of Colonial Power Group first. 3. Approve BOS Goals and Objectives- Mr. Matthews stated that he noticed that reinstating the Chair meetings from each board was part of the goals and objectives. He stated that his personal experience when he was Chairman of the BOS, he did not find those meetings to be necessary. His personal opinion was that so long as there was good communication between the BOS and other boards and departments in Town, a Chair meeting is not necessary. ===PAGE 3=== Mr. Alonzo stated that when the Chair meetings were instituted, there was no decision making happening, but that they were more of a regular occurrence to discuss issues. That being said he takes Mr. Matthews point and does not feel one way or another about it. Ms. Bertram stated that when she was Chairman of the BOS, these meetings were very productive and full of great information. She did state that it may not be necessary to make it a BOS Goal and Objective: Ms. Bertram stressed that Department Updates were very important for her and she would like to see it on the BOS Goals and Objectives because it improves communications. Monthly updates from departments would be preterred. This issue was not currently on the BOS Goals and Objectives list. Mr. Toale agreed and stated that the only time the BOS hears from the departments is around budget time, and there was value in hearing from them when they weren't defending their budget and it is very likely the BOS could assist the individual departments. Mr. Ebersole state that he would like to see a condensed hearing process to improve communications with individual boards and departments. Ms. Bertram stated that this would be very difficult and would dictate and limit the type of communication that could be had between the BOS and the boards and departments. Mr. Alonzo stated that regular meetings between the BOS and department/board heads would be added onto the goals and objectives list. Ms. Speidel said that an alternative to the Chairs Meeting might be to have a periodic "all boards" meeting, where every member of every board meets with the BOS at the same time a couple of times a year. Mr. Alonzo said that he will make changes to the goals and objectives of the BOS as discussed, which include striking "regular" from the language of Chair meetings and adding in the periodic meetings with department heads under the improved communication section. 4. Approve Town Manager Goals and Objectives- Tabled until 6/11/13 BOS meeting 5. Minutes/Warrants/Action File Issues Minutes: 05/21/2013 Warrants: State Special Election: June 25, 2013 6/4/13 25P13 $738,924.17 6/4/13 64-13 $625,591.03 6/5/13 65-13 $164,688.11 Action File Issues: Mr. Alonzo stated that in the past two members of the BOS negotiated a contract for the Town Manager, and he would like to get an early start on this issue since the Town Manager's contract is up in December. He stated he would like to be one of the two members negotiating the contract. Mr. Matthews volunteered to be the other member of the BOS to negotiate the contract. There were no objections to this from the BOS. 6. Committee Reports- Mr. Toale stated that the Finance Committee met with Nathan Kenney who provided the committee with a brief on his work at the dispatch in Devens. He also noted that Finance Committee appointed Steve Raboin to the Building Reuse Committee. ===PAGE 4=== Mr. Matthews confirmed that School Building Committee checked with the MSBC that they were on track to confirm a school for Lunenburg for 2016/2017. Mr. Ebersole stated that the Sewer Commission has been in touch with the citizens who live on Sunset Ave about extending the Sewer there and the reception by the constituents was positive. Also, the Fitchburg inter- municipal agreement is still sitting on approval from Fitchburg. Mr. Alonzo stated that the Finance Committee Appointment Committee met with 4 excellent candidates for the board and met with one re-appointment. Jason Smith was re-appointed. The two new committee members are Karin Menard and John Henshaw. 7. Town Manager Reports or Department Reports - Ms. Speidel stated that the Town is only expected to receive $316,598.00 of Chapter 90 funding from the State, which is about 50% of what was requested and is less than the Town had been receiving the past few years. Unless more funding comes in soon, the Town's spring paving project will be significantly smaller than originally planned. Ms. Speidel stated that a letter was received from MIlA advising that additional Participation Credits will be available starting on July 1st. The additional credit is in the amount of $7,294.00. An additional credit for workers compensation will be received in the amount of $273.00. Ms. Speidel stated that she met with an LSP license site professional to look at the property at 925 Mass. Ave. and the Parks Garage on West Street. The professional was doing pro-bono work. She expects to have a game plan on what to do with those two properties in the next couple of weeks. APPOINTMENTS/RE-APPOINTMENTS/RESIGNATIONS - 1. Building Reuse Task Force: Ms. Speidel stated that she had 3 applications for the Building Reuse Task Force. Currently the Task Force had representatives from the BOS (Jaime Toale), Historical Commission (Pat Slattery), Finance Commission (Steve Raboin), and the commission was waiting for representatives from the Planning Board, School Committee, and the Council on Aging. Advertising for the three open spots from public has been ongoing on the Public Access Channel and on the Town's website. Mr. Toale asked the public to continue to volunteer for the Building Reuse Task Force and fill out a talent form at the Town Clerk's Office. He also stated that interviews for the positions should be scheduled for the next meeting. 2. Agricultural Commission: Mr. Alonzo noted that the Agricultural Commission was created at town meeting and will include 5 members with members serving either one 1 year term, one 2 year term, or one 3 year term. Doug MacMillan, 471 Leominster Road, noted that he grew up on a farm, raised some beef, and wanted to be a strong liaison between the farming community and the Town of Lunenburg. He stated that he wanted the commission to be a good face for the farming community. james Lattanzi, 123 Hollis Road, noted that he has come before the BOS as an advocate for the Agricultural Commission. He is the owner of Hollis Hill Farms, and believes that the Agricultural Committee is a great group to help promote agriculture in the Town. He noted that he works closely with the Farm Services Agency and the Federal Government as well as the Massachusetts Maple Committee. Jeffery L. Mendoza, 162 Lancaster Avenue, owns 14 acres of land that are farmed in Lunenburg by Lunenburg farmers. He believes there needs to be a strong connection between the Town and its farmers. He is not a farmer and he believes this is a good thing since he can be a voice for the non-farming public. Andrea Schnepf, 74 Highland Street, owns a farm on Highland Street which mostly farms fruits and vegetables and she is also the Farmers Market Manager in town. She works for the Board of Health. She wants to help bring resources to the farmers in Town through State and Federal programs. ===PAGE 5=== Garrett Stillman, 991 Lancaster Ave, noted he was a 4" generation dairy farmer. He is the current Vice President of the New England Dairy Producers/Handlers Assoc. He believes that the Agricultural Commission is a necessity in the Town because of how much farming and agricultural there is in the Town and that time must be made to make the Agricultural Commission work. Renee T. Trakimas, 520 Page Street, owns Sunrise Stables, which is an equine boarding stable. She believes the Agricultural Commission has a responsibility to preserve the land and the farming and agricultural community. She noted that she belongs to a few State and Federal Horse Regulation committees. Greg Barnett, 74 Highland Street, stated his hope to be an alternate on the board. He grew up with agricultural but never owned a farm. He has worked for a number of farms in town. He's been applying pesticides on the crops, worked with committees to explain pesticides to the community, and wants the commission to function as an educational group in town. He also noted that he would like to see a Town Field Day or fair to help promote the farms in town. Mr. Alonzo thanked everyone who volunteered to represent the Town and farms on the Agricultural Commission. He stated the commission was long overdue. Mr. Ebersole noted that the members were recommended to the BOS by the Town Manager, not a straight vote by the BOS. Ms. Speidel recommended the one year position to Renee Trakimas, for two year terms Jeffery Mendoza and Douglas MacMillan, and for three year terms Jim Lattanzi and Garrett Stillman. BOS all commented in favor of the Town Managers recommendations. Mr. Matthews moved to approve the recommendations of the Town Manager for the Agricultural Commission. Mir. Toale seconded. On vote motion carried, 5 in favor, 0 opposed. Mr. Alonzo stated that the new members of the Agricultural Commission should see the Town Clerk to be sworn in and the Town Clerk will organize the first meeting. 3. MART Advisory Board- Mr. Alonzo asked Mr. Robert Bowen if he was able to continue serving on the MART Advisory Board. Mr. Robert Bowen replied that he had missed several meetings of the board and that he did not believe it was a good idea for him to continue serving unless there was no one else able to serve. PUBLIC COMMENT - Mr. Toale congratulated Lunenburg High School's class of 2013 for graduating. Being no further business Mr. Alonzo moved to adjourn the meeting. Ms. Bertram seconded the motion. Mr. Matthews and Ms. Bertram spoke positively of Mr. Albert from personal and professional experience. Joseph Levine, 163 Island Road, has lived in Lunenburg for the past three years. Mr. Levine owns a construction business and has been in that field for the past 10 years. He also has experience in cost projections and audits within the construction field. Mr. Alonzo stated that a previous Open Space Committee member, Mr. Hyde, had compiled excellent maps, descriptions and outlines of all the trails in town and requested that they be made more accessible to the public. Mr. Verge, Conservation Commission and Open Space Plan, talked about having a program a few: years earlier called "Walks in the Woods", which brought town residents out into the conservation land around town for hikes as well as having a Snow Shoe group to use the trails during the winter. He hopes to start these programs again. As far as maps of the towns, he is attempting to acquire maps of the trails and conservation but does not currently have them. Ms. Bertram stated the MRTC is looking to create a regional trail map, including the trails in Lunenburg, however June 19" is the last day the MRTC is accepting submissions of trails. Ms. Bertram stated that she would like recommendations on how to identify & prioritize chapter land the Town might be interested in. Mr. Brandon Kibbe, Open Space Committee Member at Large, stated that the Open Space Committee has an action plan that identifies important undertakings that the Town should look into that would have little or no impact to municipal budget. The plan also includes managing existing properties in Town and what any identified properties could be used for if the Town were to acquire the property. He stated that he would create a priority criteria list opposed to identifying individual properties to recommend to the Town to purchase. Mr. Ebersole asked why Mr. Kibbe stated that creating a list of priority criteria for properties was better than a list of individual properties. Nir. Kibbe replied that it would be better because it would be respectful of the current property owner and because it might give people the wrong idea about the worth of their property. Mr. Ebersole congratulated the Open Space Committee on their Open Space plan and asked that it be updated often. Sharon Jordan, Open Space Committee Member at Large, brought to the attention of the BOS that the Open Space Committee would be looking towards the BOS on policies for the Town concerning Chapter 61 properties and the process to deal with them. Mr. Ebersole asked if the sewer sections and the well water system on Reservoir Road were affected by the Open Space Committee plan. ===PAGE 3=== Ms. Benson replied that she was not sure but those questions would be added onto the agenda of the next meeting and will be answered for the BOS. Ms. Bertram stated that the property projection numbers on the plan might be out of date and needs to be reviewed. She also requested updated information regarding the stress levels of Mulpus Brook and the Katacutamag basins. Mr. Matthews asked if the Town owned properties were identified. Ms. Speidel replied that they were. Mr. Matthews asked if those properties where the owners were listed as unknown had anyone paying taxes on them. Ms. replied stated that the Town has a process to go through to purchase these properties, and also a process to sell properties if the Town deems it worthwhile. Ms. Bertram asked for an overview of the process and cost associated with selling land that the Town already owns. Ms. Speidel stated that anything listed on the Town own land as tax title are properties the Town owns after acquisition through a tax title. Anything listed under tax title accounts are properties the Town has a tax title lien on. The Town bills these properties quarterly and at the end of the 4™ quarter, if the taxes are not paid, the Town goes through a process that includes sending out a demand bill where the property owner has 14 days to pay the bill and then the Town can go through a process to acquire the property through a lien. She stated that typically the Town doesn't move that quickly, but within 6 months after the fiscal year is over, the Town has gone through all the proper venues to inform the owner of the tax delinquencies, advertises the property publicly informing the property owner, and then a lien is issued which is recorded with the Registry of Deeds. Next it is up to the Town on how to move forward with the property. If the Town decides to purchase the property, the property goes to Land Court. The process for selling the property stays with the BOS which can put it to auction by taking sealed bids from the "highest" responsible bidder. Mr. Ebersole asked if the map currently provided was the most recent map. Ms. Benson confirmed that the map was the most recent and listed all of the newest protected conservation areas. Mr. Toale asked if the O's listed next to Goals in the 5-Year Action Plan (Section 9 of Open Space and Recreation Plan Update 2011) were placeholders or the actual cost associated with the proposed tasks. Ms. Jordan stated that the O's were reflective of actual projected costs. Mr. Ebersole asked if there was any State funding to acquire lands. Mr. Kibbe replied that there was State funding, including the "Self Help Program". He also stated that there were a number of tax incentives built into the Tax Law that encourages landowners to donate lands for conservation purposes or for the betterment of the Town. The Town should promote the tax incentives to the public. Mr. Ebersole asked if the grants outlined were property specific and if there were rounds in which the grants were distributed Mr. Kibbe replied that the grants were property specific and there were rounds in which the Town had to apply for the grant at specific times. Ms. Benson stated that the Planning Board was working with the MRPC on an "Economic Element" on properties. The Planning Board was working on a second grant for the Town as well. She stressed that the committee was working hard and making sure that no plans or studies are placed on the shelf and forgotten and they were actively working on informing the BOS and the Town about all their activities. The BOS thanked the Open Space Committee for coming forward this evening. The joint meeting session between the BOS and the Open Space Committee closed at 8:14PM. ===PAGE 4=== CURRENT BUSINESS 1. Approve Town Manager Goals and Objectives- Mr. Alonzo passed out a copy of the agreed upon Board of Selectmen goals for FY2014. He asked that the members of the BOS note that he added under goal 4, section C which specifies periodic department updates at televised BOS meetings that was requested, and also the removal of the word "regular" from goal 4 section A. He asked if everyone was comfortable with the BOS goals after the revisions were made. Ms. Speidel stated that BOS goals did not need to be approved by a vote of the BOS. Mr. Alonzo outlined what the Town Manager Goals and Objectives suggestion list from the BOS entailed. Mr. Ebersole asked that under Goal 3: Operations, Codification of Bylaws, Facilities Maintenance Plan, and IT Policies be made into a sentence because it doesn't specifically list what is being asked of the Town Manager and when it should be completed by. Mr. Alonzo agreed and started with Facilities Maintenance Plan. He suggested it should be re-written as Development, Document, and Implement a 5 year plan for Facilities Maintenance (Capital and Operating). The BOS agreed to that language. Ms. Speidel stated that the Codifying of Bylaws was difficult because there was no funding for this project currently. Mr. Ebersole suggest that language be changed to "Develop Plan to Codify the Bylaws (Budget and Funding Allowing) The BOS agreed to this language. Mr. Alonzo suggested that IT Policies be changed to Develop, Document, and Implement Town Wide IT Policies. The BOS agreed to this language. Ms. Bertram asked if under Goal 2: Financial, the first section regarding performance measures wasn't eliminated from the Town Manager Goals and Objectives previously. Mr. Ebersole stated that it should be eliminated considering it's a performance based on budgeting. Ms. Speidel stated that there is a grant offered through UMass Boston which would fund an intern to set up a performance based budgeting system to help take off performance based on zero based budgeting. She suggests keeping that language attached to the performance base. Mr. Ebersole stated that it should be changed to Implement Performance Based Budget. Ms. Bertram asked if the semantics of "In Progress" should be changed. She stated that a "No Progress" column be kept. Mr. Ebersole stated that a column could be added for percentage of goal completed. Mir. Alonzo suggested the columns be left stating "No Progress, Progress, Substantive, and Notes" and that one be added that stated what percent was finished for quarterly updates. Mr. Alonzo stated he will not be at the BOS meeting the next week so Ms. Bertram will present the adjusted Goals and Objectives for the Town Manager. ===PAGE 5=== 2. Approve License Agreement, Haying, 200 Pleasant Street - Ms. Speidel stated that the BOS has issued two licenses for Haying in the past and the Conservation Commission has a few other properties that they have issued licenses to. She would like to put out all the properties between the BOS and the Conservation Committee to a common bid to see if a more substantial bid came in that benefits the Town. She stated that the property at 200 Pleasant Street was put out to bid for Haying and SMD Construction had the highest bid at $750.00. Two other bids were received for $600.00 and $500.00. These bids are less than amounts previously received for the property, which for the past three years had been $1,000.00. She stated that she did not know the market for haying and the market may be moving poorly, but she does think the BOS should start looking at properties for Haying in January or February to get ahead of the game. Ms. Speidel stated that she would like to issue a license to Hay 200 Pleasant Street for one year and all other properties in a 3 year bid. Mr. Ebersole moved to approve the license to Hay on the property of 200 Pleasant Street for $750.00 for one year. Ms. Bertram second. On vote motion carried, 5 in favor, 0 opposed 3. Minutes/Warrants/Action File Issues: Minutes: None. Warrants: 6/11 #66-13 $353,996.00 Action File Issues: Ms. Bertram asked that the Action File be cleaned out. 4. Committee Reports: Board of Health - Mr. Ebersole stated that the applicant to waive regulations on a property in Hickory Hills has not shown up to represent themselves in front of the Board of Health. Capital Planning Committee - Mr. Toale stated the committee is working on streamlining the process and setting the calendar for the upcoming fiscal year. Finance Committee - Mr. Toale reported that the Finance Committee is meeting this coming Thursday. Library Board of Trustees - Mr. Ebersole stated that the board will be meeting later in the month. MPO - Ms. Bertram stated the MPO meets tomorrow. PACC - Mr. Toale stated that PAC meets next Monday. School Committee - Mr. Matthews stated that he was unable to attend last weeks meeting. School Building Committee - Mr. Matthews stated that the committee meets on the 17". Sewer Commission - Mr. Ebersole reported that the commission was meeting tonight. He talked to the committee about the issue of extensions into border municipalities and plans on updating their rules and regulations. MA Broadband - Mr. Alonzo stated that MA Broadband continues expanding their grid and in 6-8 weeks they will arrive in Lunenburg. 5. Town Manager Reports or Department Reports - Ms. Speidel reported that the Pay-Per-Throw program is receiving a lot of complaints. Most of the complaints received revolve around the hauler picking up trash that is not in the yellow bags issued by the Town. People are putting recyclable material into plastic bags which after checking the contents, the hauler removes. The Town's program is too small to offer large toters but residents can use any type of bin to put out recyclables. People should not be mixing recyclables into the yellow bags. A flyer has been created that asks the citizens to change their habits with trash and instructing them when it goes in a recyclable container and when it should be put into the yellow trash bags. ===PAGE 6=== Mr. Alonzo asked that it be highlighted on the flyer that recyclables must be placed in an open container. Ms. Speidel stated that the hauler is able to mark bags that have been rejected. The hauler has reported about a dozen or so rejections of garbage per day. Another complaint concerns the driver mixing the recyclables with the trash in the truck. Ms. Speidel explained that everything goes into the same opening but there are two slots that separate the trash from the recyclables which people cannot see. Ms. Speidel stated that the holiday pick up schedule will be changed to include regular pick up on the lesser holidays which include, Martin Luther King Day, Presidents Day, Patriots Day, Columbus Day etc. Delayed pickup will remain in effect on New Year's Day, Memorial Day, Labor Day, Veteran's Day, and Christmas Day.. The hauler, Cassella, is in agreement with this change. APPOINTMENTS/RE-APPOINTMENTS/RESIGNATIONS 1. Resignation: James A. Hays, Council on Aging- Mr. Alonzo read a letter of resignation from Jim Hays trom the Council on Aging. He stated that the BOS has accepted Mr. Hays letter of resignation and asked that a letter be send to Mr. Hays thanking him for his service. Mr. Alonzo stated that there are positions opened for the Council on Aging and talent bank forms should be filled out if interested. PUBLIC COMMENT Being no further business Ms. Bertram moved to adjourn the meeting. Mr. Matthews seconded. On vote motion carried, 5 in favor, 0 opposed. Bilotta meeting room at Town Half as scheduled with Paula Bertram, David Matthews, Robert Ebersole, Jamie Toale and Town Manager Kerry Speidel present. Absent was Tom Alonzo. Regular Meeting opened at 7:00 PM 7:00PM PUBLIC COMMENT Dave Rogers, 82 Highland Street, commented on the passing of Dick Bishop, the longtime Moderator of Lunenburg Town Meeting and a former teacher in the Lunenburg Public Schools. Mr. Bishop served the community well for years and was the quintessential "Lunenburger". Ms. Bertram extended condolences from the BOS to the family of Mr. Bishop and spoke to his strong commitment to the community over the years. Mr. Rogers continued his public comment with an official update as the Chairman of the Board of Water Commissioners by providing the BOS with an update on the #1 Well in town. After an initial test of the well, the results were that traces of E-Coli were found. Five additional tests were conducted and all confirmed that the well was fine and the community should have no fear of drinking from it. Mr. Rogers speculated that the first test that showed traces of E-Coli might have been due to a rodent that found its way into the well and expired, but ultimately the well is fine and operational. APPOINTMENTS 7:00 p.m. Public Hearing- Recreational Dimensions Inc., d/b/a Central Mass Power Sports for a Class I License for the sale of Motor Vehicles as provided for under MGL Chapter 140- Ms. Bertram read the Public Hearing Notice into record regarding Recreational Dimensions Inc., d/b/a Central Mass Power Sports. Ms. Speidel stated that the application is complete and all fees have been paid for the license. Ralph Roberts, Central Mass Power Sports owner, stated that he was a part of a group that acquired the business and currently owns 4 other similar businesses in the Boston/Southern New Hampshire area. He stated that no changes would be made to the business including the sign on the street or employees, and the business would run identical to how it runs currently. Mr. Ebersole asked if the conditions requested by the Zoning Board needed to be included in the license. Ms. Speidel replied they did not need to include the recommendations in the license. Ms. Bertram asked if the Board of Health recommendations needed to be considered and if the taxes were up to date. Ms. Speidel replied that the previous owner had kept all the taxes up to date and that the BOH recommendations did not need to be included in the license. Mir. Ebersole moved to approve the Class I License for the sale of Motor Vehicles as provided for under MGL Chapter 140 for Recreational Dimensions, Inc., d/b/a Central Mass Power Sports. Mr. Toale seconded. On vote motion carried, 4 in favor, O opposed. 7:15 p.m. Renewal of $115,000.00 Revenue Anticipation Note: Shelley McCaie, Treasurer-Collector, stated that on December 4, 2012, the BOS voted to approve emergency appropriations borrowing relative to the October 31, 2011 storm. The note for that short term borrowing of $115,000.00 matures on June 28, 2013 and ===PAGE 2=== no reimbursement has yet been received from the Massachusetts Emergency Management Association. Until the Town receives the reimbursement from MEMA, the Town needs to re-borrow the money. On June 5, 2013 the bid process began in which the Town of Lunenburg received 4 bids and on June 12, 2013 she accepted a bid which was rewarded to People's United Bank with a rate of .55%. She stated that she was asking the BOS to sign off on the three documents that are needed for this bid to go through, and they are the Certificate of Note 530-1, Certificate and Covenant as to Tax Exempt Status of Note, and the Certificate of Town Clerk. Ms. Bertram asked if there was any available information as to the status of reimbursement. Ms. Speidel replied that she did not and that she might have to work with Representative Benson to get the process moving. Ms. McCaie stated that she received notice that the contract was received by MEMA and the reimbursement funds should be arriving soon. Ms. Speidel stated that no vote was needed since the BOS voted to approve the original short term borrowing. At this time, Ms. Bertram asked Ms. McCaie to provide an update on her department Ms. McCaie provided and update on the tax titles she had been dealing with presently. In April, she committed to Town Counsel 36 properties that were in tax title for an extended period of time. A letter was mailed to the property owners and she has received 15 responses based off of these communications. Of the 36 properties she has been dealing with she has collected $45,000.00 in taxes from those properties. She has also been able to collaborate with 3 additional property owners who will be paying off their tax debt in full within the month which will result in an additional $51,000.00 and a total collection of just under $100,000.00. Ms. Bertram asked what is the next step in dealing with the properties where no response we received. Ms. McCaie replied that they will contact Attorney Jim Cappola in regards to those properties, and at that point they would start the foreclosure process in Land Court. The cost per case in Land Court and the Town needs to be careful as to how many cases are brought forward in order to stay within the Town's budget. Mr. Ebersole asked what the current interest rate that property owners are charged before and after tax title. Ms. McCaie replied that once they are in tax title the rate is 16% and 14% prior to tax title. Ms. McCaie stated that for FY12, 19 new tax titles were recorded for approximately $54,000.00 at the Registry of Deeds. Additionally 70 new titles were added to prior titles. She went on to say that for FY13 Real Estate Taxes, 415 demand letters were sent out, so she is up to date with getting the demand notices out. Mr. Toale asked if the budget allows for Ms. McCaie to add additional funds if she is successful in her pursuits. Ms. Speidel replied that it would be a budgetary appropriation issue for the end of the fiscal year. Ms. Speidel noted that the property on Lancaster Street which is listed at the top of the tax title sheet is being dealt with separately. This property has major tax issues with the IRS as well as with the Town. The BOS thanked Ms. McCaie for her report this evening. 7:30 p.m. Review of Solar Projects- EPG Solar, NuGen (formerly Mass PV1 project) - Attorney Rick Holland updated the BOS on the progress of the solar projects in town. He noted a few things specifically including that today he received from EPG Solar an amendment to the contract which he has not had a chance to review yet. He does not believe the property on Chase Road, that NuGen is looking, at has sufficient enough space for their facility, but the NuGen representative present may be able to prove otherwise. Additionally, he noted that the Town currently has more energy credits purchased than is necessary and the Town should look into selling the excess credits to surrounding communities. Ms. Bertram expressed concern in regards to the additional credits which the Town purchased and is not using efficiently. She stated that she is specifically concerned about over buying. She asked Attorney Holland if he ===PAGE 3=== was suggesting that the Town should have an agreement in place to sell the additional credits before signing into a contract with NuGen. Mr. Holland replied that he is recommending that the Town look into having an Inter-Municipal Agreement with another community to sell additional credits before signing a contract with NuGen. Ms. Bertram stated that her understanding was that NuGen would be operational within one and a half years, but she wasn't sure where to find that in the contract. Mr. Holland replied that the language Ms. Bertram is looking for is in section 3.11F of the contract with NuGen. Mr. Ebersole asked if the Town could only transfer credits to a municipality or if they could also transfer credits to a non-profit. Mr. Holland replied that it needed to be a governmental organization, and this would most likely disqualify a non-profit. Mr. Ebersole questioned if the Water Department might count. Mr. Holland replied that the Water Department might county since it is a government entity, although this particular circumstance should be looked into further. Robert Babcock, EPG Solar Representative, updated the BOS on their project. He stated that their project on Pleasant and West Street was still on track. He said there had been peaks and valleys as to the progression on the project and noted that there was an issue with the 1s1 amendment of the PPA, with the property itself, wetlands, and so on. The interconnection was executed 6 months ago and is ready to proceed. They brought in an investor who proposed some amendments to the PPA, the Town pushed back and as a result the Town walked away. He does not believe either part was wrong on this issue, but rather the parties had conflicting interests. Three new investors have been attracted to the project with one of the three being further along in joining the project. Solar is very popular in the state of Massachusetts and there is a lot of competition when it comes to qualifying for specific programs and meeting strict deadlines. In addition to this the State has changed many rules and regulations when it comes to solar power which forces the solar industry and those constructing solar fields to double check what they are doing. Ultimately the West Street/Pleasant Street project is on track to be finished by the required date of December 31, 2013, and he is here to gain approval from the BOS on a few language and date changes in the PPA agreement including the finishing date, which is the responsibility of the utility. Ms. Bertram asked Mr. Babcock to expound on the land issue they are facing. Mr. Babcock explained that currently one of the pieces of property that the project is being built on, a non-profit organization is going through a bankruptcy procedure. To quicken the pace of the land acquisition EPG Solar had asked the judicial powers dealing with the bankruptcy process to approve the land transfer, which they have verbally approved the language on the new lease but are still waiting for an official approval. EPG has placed a significant amount of money into an escrow account in regards to this property but won't release the money until all the documents are signed. No timeline has yet been established but Mr. Babcock stated that EPG attorneys have stated that the Judicial Court dealing with the issue has already begun looking at it and moves quickly. Mr. Matthews asked if EPG was recognized in the Queue for the State. Mr. Babcock replied there are three Queue's that EPG is qualified for. Net Meter Queue, interconnection Queue, and Esrek Queue. Mr. Matthews asked if there were any financial implications with the changes in the contract. Mir. Babcock replied there were no financial implications in regards to the changes. ===PAGE 4=== Ms. Bertram stated that the BOS won't be meeting again until July 9 and they have not been able to review the changes in the agreement. If the board approves the changes in the agreement on July 9, will that cause any delay in the project. Mr. Babcock stated that it would not cause any delay in the project. The BOS thanked Mr. Babcock for meeting with them. Dan Poyjonus, NuGen Capital Representative, gave an update on the 651 Chase Road project to the BOS. He stated that the project is on the right track but some things have been changed in the PPA agreement which the BOS needs to sign off on. NuGen has an agreement with Mass PV1 to step in as an investor for the project and all conditions have been met for this to happen except for signing the PPA and the PILOT agreement. The agreement has no financial contingencies, but they cannot move on them until the agreement is signed off on. He stated that the agreement the Town has with NuGen does allow them to sell off unused credits to other municipalities. Ultimately NuGen is ready to proceed with the project on Chase Road and are awaiting the Town of Lunenburg to meet some deadlines at this point. Mr. Matthews stated that the agreement is for NuGen to have the project done in 1.5 years. He asked what NuGen's actual timeline for the project was. Mr. Poyjonus noted there was an early termination provision for the Town that stated if NuGen hasn't started with construction within 9 months they can terminate the contract. He stated that this was a worst case scenario disaster provision to help keep the Town from investing millions of dollars into a project that was faltering or failing. Ms. Bertram asked Mr. Poyjnous to highlight the 9 month provision in the contract. Mr. Poyjonus stated it was in section 3.11C at the bottom of page 6. Mr. Matthews asked if NuGen had experience dealing with interconnection when it came to Unitil and would they be ready to go with them. Mr. Poyjonus replied they did have experience and would be ready. Ms. Speidel asked Mr. Poyjonus to clarify what was needed to get into the Net Metering Queue. Mr. Poyjonus stated that the PPA needs to be completed but other than that everything is prepared to meet the Net Metering Queue. Attorney Holland spoke to the BOS stating that he was going to finalize changes in the contracts and also look into the construction commencement date. He would continue to work things out with NuGen and EPG Solar. He expects to have final documents for the BOS to sign off on at the next BOS meeting. Ms. Bertram asked if Mr. Holland had worked with any other communities that have worked out inter-municipal transfer credit agreements. Mr. Holland stated he had but that he wasn't aware of any transfer credits actually being used. 8:00 p.m. Review of Eagle Heights Housing Project - Ms. Speidel explained that there has been a long process that the Town has collaborated with a private investor to convert the old Primary School into a senior living facility. The process has met many setbacks, but the investors from JNJUHL & Associates and RCAP Solutions are still working to push it through the project through. Mr. Paul Teixeira, RCAP Solutions, thanked the BOS for their continued support of the Eagle Heights Housing Project. He stated that they have faced numerous setbacks including the loss of funds due to sequestration at the federal level. He is extremely thankful for the concessions that the BOS have made to help move the project further, and he has come with the full backing of his organization to proceed further with the project despite the setbacks. He would ask that the BOS make the concessions they have verbally agreed to in the past more official so that they had a better chance of receiving funding from the State. ===PAGE 5=== Ms. Speidel stated that the BOS hasn't officially accepted any of the concessions that were suggested by Mr. Teixeira and Mr. Juhl. Ms. Speidel referenced a number of concessions that the Town could make or have made. (See attached) Ms. Bertram stated that she wanted the BOS to discuss the concessions and clarified with Mr. Teixeira and Mr. Juhl that no concessions had yet been guaranteed by the BOS. Mr. Teixeira and Mr. Juhl stated they understood that nothing was official yet. Mr. Juhl stated to the BOS that despite the difficulties at the Federal level, the State level still has strong financial backing for senior housing projects. Since the Eagle Heights Housing Project would be 100% senior housing, RCAP Solutions and JNJUHL & Associates are still very interested in continuing but they would still need strong and official support from the Town of Lunenburg to prove to the State that this is a viable project worth funding. There are two rounds of State funding in the next year for which they would like to qualify for. Mr. Teixeira stated that previously when the Department of Housing and Urban Development 202 Program was assisting, it was a very safe program. HUD had a strategy that assisted with a pre-development loan program for non-profits and that was very helpful for senior housing projects. Now that Federal funding has been cut, there are still State programs to help but the risk in investing in such a project is higher. Since the Governor of Massachusetts wants to increase the number of low income senior housing complexes in the State, he believes that with concessions made by the Town of Lunenburg can help the project move forward and gain State funding. Ms. Bertram noted that one of the concessions which Eagle Heights is looking for is a waiver on the sewer connection and asked if this fee will be waived or just the extension cost of the sewer connection. Jack Rodriquenz, DPW Director, stated that the Sewer Commission did not discuss a waiver of fees at their last meeting, but they did agree that a reasonable concession would be for an extension to connection at the project be paid for by the sewer commission at $100.00 per foot. Mr. Juhl stated that they would appreciate a waiver or a reduced cost, but that it wasn't one of their main concession requests. Ms. Bertram asked if the Town helping with the funding for a 3 party consultant was still being considered. Mr. Juhl replied that this was really an issue for the Zoning Board of Appeals to look into. Ms. Bertram questioned if the tax issue was still applicable to this project or if they were eligible for a PILOT. Ms. Speidel replied that she did not believe that the building was eligible for a PILOT. Ms. Bertram asked if the Town had an idea of what the plumbing and electrical fees were and how much it would cost to waive the fees. Ms. Speidel stated the developer would still need to pay at least 85% for the plumbing and 87.5% of the electrical. Mr. Matthews asked if the Town donated the building, would ownership need to transfer or could the Town do a long term lease for $1.00. Mr. Teixeira replied that the ownership would have to be with LLC so that the investors are protected. Mr. Matthews asked what the Town should do for a long term deed restriction. Mr. Juhl stated that MassDocs have an affordable housing restriction ensuring that there is a long term affordability program in place. This protects the Town for long term affordability. Nir. Matthews asked if the property had to be subdivided. Ms. Speidel replied that the property was on its own lot but they could double check. Mr. Ebersole asked how many units there would be in the building. ===PAGE 6=== Mr. Juhl replied that it's not finalized but they are looking to have 50 units if possible. 5% of the units would be handicapped and 100% of the building would be handicapped accessible. Mr. Ebersole asked who would be managing the property. Mr. Teixeira replied RCAP would be managing the property. Mr. Matthews said that this project has already been in the works for many years and asked for a timeframe for the project. Mr. Juhl replied that they are hoping for funding in 2015, construction in 2016, and operational in 2017. This increases the timeframe but it is realistic and based on current economic realities. Mr. Matthews stated he is still very supportive of the project and he is willing to ride it out. Mr. Toale stated that he agrees with what Mr. Matthews, but we all have to look at the project in terms of dollars and cents and we have to make sure that the concessions make sense for the Town. Ms. Bertram stated she also wants to get a better idea of finances. She asked Ms. Speidel if she was looking for a vote from the BOS tonight. Ms. Speidel replied she was not looking for a vote but she is looking for something from the BOS, specifically with the issue of donating the building. Mr. Ebersole asked what the developers paid in taxes in other towns. Mr. Teixeira said the he believes in Groton the pay $5,000.00 per year, in Townsend they pay between $5,000- $10,000.00. He does not believe the pay taxes in Worcester. Ms. Bertram stated that she would like to hear from the Assessor's office but she thinks that $5,000.00 is too low for Lunenburg and that the Town needs to receive some reasonable tax revenue from a 40 unit building. Mir. Ebersole stated that there needs to be a clearer cost assessment of the building before it is donated. Ms. Speidel stated that she can double check with the appraiser but she does not believe the building is worth any more than $140,000.00. Mr. Juhl stated that the donation of the building would be the most important thing the State would look at when looking to fund the project. Ms. Bertram stated that the BOS would put this on their agenda for July and start moving the project forward. CURRENT BUSINESS 1.
