Costa, Town Counsel, stated that there were two inquiries made by board members of the Board of Commissioners of Trust Funds regarding the roles and jurisdiction of the entity. Town Counsel described Article 3 Subsection 11 of the Town Charter, which outlines the composition and term of office for the Board of Commissioners and identifies the powers and duties of the Board of Commissioners of Trust Funds. Town Counsel stated that the Town Charter mimics Massachusetts General Laws Chapter 41, Section 45, which allows for the creation of Boards of Commissioners of Trust Funds. Town Counsel stated that the Board of Commissioners of Trust Funds is comprised of a three- member board that is elected for three-year terms, in such a manner that every year, the term of one member expires. Town Counsel stated that it can be common for vacancies to occur on the Board of Commissioners of Trust Funds or other lesser-known boards. Town Counsel stated that two individuals were elected as write-in candidates for the Board of Commissioners of Trust Funds recently. Town Counsel stated that the Town Manager provided Town Counsel with a list of funds that are within the Town’s possession. Town Counsel stated that there are four categories of funds: conservation funds, library funds, cemetery funds, and miscellaneous funds. Town Counsel stated that conservation funds are within the purview of the Conservation Commission; he added that library funds are within the purview of the Library Board of Trustees. Town Counsel stated that cemetery funds are within the purview of the Cemetery Commission. Town Counsel stated that miscellaneous funds may have oversight of the Board of Commissioners of Trust Funds. Town Counsel stated that the Board of Commissioners of Trust Funds is not unique to the Town of Lunenburg. Town Counsel described the City of Salem, which has a webpage for funds that are under the purview of the Board of Commissions of Trust Funds. Town Counsel stated that there are five miscellaneous funds, with varying degrees of originating documentation. Chair Nuzzolo asked the Town Manager if there have been challenges with determining the originating documentation of some of the miscellaneous funds. The Town Manager stated that as of March 25, 2025, the balance of the miscellaneous funds is as follows: • American Legion Poor Fund: $12,489.53 • J&M Howard Sidewalk: $22,211.58 • Worthy Poor: $22,887.22 • Gazebo Restoration: $10,725.46 • Lunenburg Post 283: $8,690.14 The Town Manager stated that the Town has found two of the controlling documents for miscellaneous funds. The Town Manager stated that after speaking with a former member of the Board of Commissioners of Trust Funds, it has been an apparent issue for years. The Town ===PAGE 3=== Page 3 of 10 Select Board Meeting Minutes July 15, 2025 Manager stated that the Treasurer/Collector will have to do research to find the other originating documents and work with Town Counsel on the distribution of the funds. Clerk Renee Emkey asked the Town Manager which documents had been found. The Town Manager stated that Worthy Poor and the American Legion Poor Fund have originating documents. John Bowen, 162 Highland Street, Board of Commissioners of Trust Funds Chair, stated that he believed that the workers' compensation fund may be under the purview of the Board of Commissioners of Trust Funds. Mr. Bowen stated that he believes the library funds are managed under the Library Board of Trustees, while the conservation and cemetery funds are not managed by private entities. Mr. Bowen stated that he believes that Town Counsel has provided clarity but not evidence to support the determination that the cemetery funds are under the purview of the Cemetery Commission and the conservation funds are under the purview of the Conservation Commission. Mr. Bowen stated that he believes one entity, the Board of Commissioners of Trust Funds, should have purview over all funds. Town Counsel stated that he cited case law for the library funds, for which they are under the purview of the Library Board of Trustees. Town Counsel stated that there were no cited case laws for conservation funds and cemetery funds. Town Counsel stated that no case law applies to this situation. Town Counsel stated that there are statutory provisions that address the creation of those entities and the authority they have with respect to their monies, including monies that are held in trust. Town Counsel stated that his firm contacted the Division of Local Services (DLS) and received a general confirmation of the analysis that was provided to the Select Board. 7:20 PM Joint Meeting with the Lunenburg Municipal Building Design Committee to Discuss the Direction for the Town Hall and Ritter Memorial Building Projects Vice Chair David Blatt called the Municipal Building Design Committee meeting to order at 7:56 p.m. Mr. Blatt described the elements that the Municipal Building Design Committee grappled with in regard to the consolidation of the town government services in one building and the ADA compliance aspects. Mr. Blatt described public feedback as identifying misconceptions and misunderstandings regarding the conditions of buildings. Member Brian Lehtinen stated that in a prior Select Board meeting, it was discussed that there was $18,500 that remained unspent regarding the building design study. Member Lehtinen stated that the funds were already fully spent, and the invoices are being processed. ===PAGE 4=== Page 4 of 10 Select Board Meeting Minutes July 15, 2025 Chair Nuzzolo stated that the proposed Town Hall and Ritter Memorial Building projects were six votes shy of being passed at a prior town meeting. Chair Nuzzolo asked the Municipal Building Design Committee if they had decided to bring their original plan back to the Fall Special Town Meeting. Mr. Blatt stated that the new School Superintendent may have a different vision. Clerk Emkey asked if the Committee has received any feedback regarding suggested changes since the town meeting. Mr. Blatt stated that the Committee received comments regarding the large-scale vision of the project and the economic feasibility. Member Glenn McLeod stated that he believes the current project plan should not move forward to the Fall Special Town Meeting. Member McLeod thanked the Committee for their efforts. Member McLeod stated that in the future, there will be a more collaborative approach with the Committee and the Select Board. Clerk Emkey noted the decreased composition of members of the Committee. Clerk Emkey stated that she would not support bringing forward the same plan. Clerk Emkey stated that public outreach for this project was at an inopportune time in regards to the override. Clerk Emkey stated that there should be a voting representative of the APDC and that she believes it should be Anthony Sculimbrene. Clerk Emkey stated that she believes that the Facilities Director should be more heavily involved in the Committee moving forward. Clerk Emkey stated that she does not believe the ACE program should be in the Town Hall. Clerk Emkey stated that she would like to see a large enough space for department head meetings within the new Town Hall. Clerk Emkey suggested that Brooks House could be a location for ACE. Clerk Emkey stated that it was a missed opportunity for the Committee at Town Meeting to discuss debt capacity. Clerk Emkey stated that the Committee should utilize PACC for short video clips for the Town Meeting. Member Lehtinen stated that he would not support bringing forward the same plan. Member Lehtinen stated that the Committee should work with PACC leadership to determine alternative spaces. He stated that the new Superintendent needs to be considered moving forward. Mr. Sculimbrene stated that the new Superintendent has different ideas as to where the ACE program could be located. Mr. Sculimbrene stated that he is thankful that the Town did not vote to approve the project. Mr. Sculimbrene stated that the Committee needed to get the Town Manager and staff involved in this process. He stated that the Committee and the Town need to review the primary Town services and functions in the design of the new Town Hall. The Town Manager suggested surveying town meeting voters to determine why they voted the way they did may be beneficial for future planning and outreach for this project. The Town Manager suggested that staff and Committee members visit other municipal offices in surrounding communities to see their design of their municipal buildings. ===PAGE 5=== Page 5 of 10 Select Board Meeting Minutes July 15, 2025 Mr. Sculimbrene stated that the architect was not being properly informed and wasn’t communicating with the Town Manager and Facilities Director during the initial design of the project. Mr. Sculinbrene stated that there were errors and mistakes in the redesign that could have been caught if the Town Manager and staff were more involved in the process. Mr. Blatt agreed with Mr. Sculinbrene. Mr. Sculinbrene stated that the Committee never once did a walk- through of all the municipal buildings. The Town Manager recommended that the action item to add the Facilities Director to the Committee be tabled until she gets confirmation that he can commit to it. The Town Manager stated that she will draft language with Town Counsel. 3. Discussion: Bring Your Own Bottle Policy Chair Nuzzolo stated that a Lunenburg business owner owns a nail salon and would like to offer a BYOB option for their customers. Chair Nuzzolo stated that currently, the BYOB element is directly tied to businesses that can apply for a Common Victualler’s License, meaning that a nail salon, which doesn’t serve food, cannot apply for a BYOB. The Town Manager stated that BYOB is not regulated by the ABCC; it is regulated by the local licensing authority. The Town Manager stated that the Board can consider allowing all businesses or certain businesses the ability to have BYOB. Chair Nuzzolo stated that he is concerned that if the Board decides to allow BYOB for businesses that do not sell food, that could be a public safety issue in regard to driving. Member Lehtinen stated that he has reservations about this and needs more information. Member McLeod stated that he sees this as a business-friendly opportunity to allow businesses the option of BYOB. The Board unofficially decided to decline to do further research regarding this request. The Town Manager stated that she will reach out to the business owner to see if they can do some research regarding this endeavor. 4. Ratification of the Collective Bargaining Agreement with New England Police Benevolent Association, Local 353, FY26-FY28 ===PAGE 8=== Page 8 of 11 Select Board Meeting Minutes August 19, 2025 Chair Nuzzolo stated that this item is tabled until a future meeting. 5. Authorize the Town Manager to file Applications, Execute Agreements, and Other Necessary Documents Associated with the Clean Water State Revolving Fund Grant to the Town of Lunenburg for the Asset Management Inventory and Planning Project Motion by Chair Nuzzolo to whereas the Town of Lunenburg, after thorough investigation, has determined that the work activity consisting of asset management, inventory, and planning is both in the public interest and that to undertake this activity, it is necessary to apply for assistance. Whereas the Massachusetts Department of Environmental Protection and the Massachusetts Clean Water Trust of the Commonwealth of Massachusetts pursuant to Chapter 21 and Chapter 29C of the General Laws of the Commonwealth, Chapter 21 and Chapter 29C are authorized to provide financial assistance to municipalities for th purpose of funding, planning and construction activities relative to water pollution abatement projects and drinking water projects, and whereas the applicant has examined the provisions of the Act of Chapter 21 and Chapter 29C and believes it to be the public interest to file a loan application, now therefore, be it resolved by the Lunenburg Select Board as follows. One, that the Lunenburg Town Manager, is hereby authorized on behalf of the applicant to file applications and execute agreements for grant and or loan assistance, as well as furnishing such information, data, and documents pertaining to the applicant for a grant and/or a loan as may be required and otherwise to act as the authorized representative of the applicant in connection with this application; two that the purpose of said loans, if awarded, shall be to fund planning activities; and three that a set award is made the applicant agrees to pay those costs which constitute the required applicant share of the project cost. Seconded by Clerk Emkey. Call for the vote: Four-aye. The motion passed unanimously (4-0-0). 7. Letter of Support to Legislative Delegation in Relation to the Nashoba Associated Boards of Health Retirement System The Town Manager stated that the Nashoba Associated Boards of Health were formed in 1918 and have been officially in the State’s retirement pension system since 1967. The Town Manager stated that the employer contribution portion for the Nashoba Associated Boards of Health was never billed. The Town Manager stated that in 2014, the State Retirement System forgave the employer contribution portion before 2014; however, they currently have a growing liability since 2014. Member McLeod asked if it is financially viable for the Town of Lunenburg to be in the Nashoba Associated Boards of Health. The Town Manager stated that due to funding from the state-level for regional public health partnerships, the Town receives more enhanced services if the Town were not part of the Association. ===PAGE 9=== Page 9 of 11 Select Board Meeting Minutes August 19, 2025 Motion by Clerk Emkey to approve the letter of support to the legislative delegation in relation to the Nashoba Associated Board of Health Retirement System. Ms. Goodsell reported that in FY25, there were 13,931 check-ins at the center, with 1,185 unduplicated individuals and the center averaged 47-51 visitors per day. She highlighted the recent kitchen renovation, which was completed on budget in two months and now includes a commercial-grade setup that passed inspection. Ms. Goodsell detailed the wide range of programs offered at the Center including regular programming and special holiday events. Transportation services through MART served 42 individuals, while outreach services helped 396 individuals with various needs. The center also delivered 4,748 Meals on Wheels to 41 individuals and served 2,417 on-site meals to 268 individuals. Ms. Goodsell discussed outside funding sources, including donations through the Select Board, $10,000 annually from the Eagle House supporters, and a state formula grant of $46,800 based on the senior population. For the FY27 budget, Ms. Goodsell proposed staffing changes, including creating a new Program Coordinator position and changing the Outreach Worker role to an Assistant Director position. She estimated a total budgetary increase of $8,000, which includes these changes. During the discussion, committee members raised questions about the proposed staffing changes, the process for implementing them, and the potential impact on current staff. Ms. Goodsell clarified that the changes would not take effect until July 1st of the next fiscal year and that the Outreach Position would be absorbed into the new Assistant Director role. Culture and Recreation, Library Muir Haman, Director of the Lunenburg Public Library, presented the preliminary budget for the Library. He provided an overview of the library's mission, usage statistics, anticipated budget for FY27, outside funding sources, and state certification requirements. Mr. Haman reported that in FY25, the library had 68,000 visitors, a 4% increase from the previous year. The library offered 410 programs with 6,700 attendees. Physical item circulation was 77,543, while electronic resource circulation jumped to 34,363 items. The library's FY27 budget request was $671,142, which includes salaries, materials, utilities, and other core services. Mr. Haman explained the Massachusetts Board of Library Commissioners (MBLC) certification requirements, including the municipal appropriation requirement and materials expenditure requirement. Mr. Haman also addressed potential staffing changes, including the upcoming retirement of the children's librarian and the need for additional support in various areas. He presented a three-year staffing growth plan, which includes adding a specialized programming services librarian and increasing hours for existing positions. He discussed the library's membership in the Central and Western Massachusetts Automated Resource Sharing (CWMARS) network, which allows resource sharing among 150+ ===PAGE 3=== libraries. The annual assessment for this membership is expected to increase to the full membership fee of $8,000 in FY27. The presentation concluded with a discussion of federal funding uncertainties and their potential impact on library services. Mr. Haman noted that some databases previously provided by the state had been discontinued, requiring the library to purchase them directly. Committee members asked questions about the library's trust funds and database usage tracking. Health Insurance Town Manager Jennifer Warren-Dyment presented an overview of the town's health insurance costs. She explained that the FY26 health insurance budget is $3,298,520, which represents 7% of the total budget. This figure does not include school active employees but does cover town active employees and all retirees. Ms. Warren-Dyment explained that Town Meeting had accepted MGL Chapter 32B, Section 19 in 2008 which requires a written agreement between the Town and the Public Employee Committee (PEC) which requires the Town to have contracts with health insurance carrier(s) in accordance with the Agreement. She also discussed the structure of the Public Employee Committee (PEC) and its role in negotiating health insurance plans. Mary Foyle, Chair of the PEC, stated that it been four years since there had been negotiations and discussed some of the prior areas that have been explored for const containment. Ms. Warren-Dyment detailed the current health insurance plans being offered, the enrollment figures, and cost history. The town participates in a health insurance trust through the Massachusetts Interlocal Insurance Agency (MIIA), which includes over 160 cities and towns. She explained that recent years have seen significant increases in premiums, with FY26 seeing a 14.8% increase. Ms. Warren-Dyment discussed potential alternatives such as exploring alternative providers like the Group Insurance Commission (GIC) and enhancing the current opt-out program and potential changes to make it more attractive. School Committee Secretary Mandy Gilman announced she needed to leave the meeting due to family obligations during the discussion. With lack of quorum, Chair Sculimbrene moved to adjourn the meeting of the School Committee. Seconded by Clerk Gilman. The motion passed unanimously at 9:02 p.m. Mr. Sculimbrene and Mr. Yapp remained for the remainder of the meeting. citing family obligations). Ms. Warren-Dyment projected a potential over a million-dollar increase in health insurance costs over the next three fiscal years if current trends continue. Committee members engaged in a discussion about potential strategies to manage these increasing costs. They discussed revisiting the opt-out program to make it more financially appealing. They also discussed considering changes to plan designs, such as increasing deductibles. Ms. Warren-Dyment emphasized that any significant changes would require careful consideration and negotiation with the PEC and various stakeholders. ===PAGE 4=== Human Services, Health Services Ms. Warren-Dyment presented the preliminary budget for Health Services (Board of Health). The total human services budget, which includes the Council on Aging and Veterans Services, is under half a million dollars, with the Health Services budget at $126,000 for FY26. Ms. Warren-Dyment explained that the Board of Health consists of five elected members responsible for formulating and enforcing local rules and regulations affecting public health. They are supported by a 32-hour per week administrative assistant and receive services from the Nashoba Associated Boards of Health, which serves 15 other local communities. The preliminary budget projections show a relatively level budget with a 6.51% increase or $8,200. This includes contractual increases for staff and assumes a 10% increase for Nashoba Boards of Health and Nashoba Nursing services. Ms. Warren-Dyment noted that Nashoba has experienced recent staffing difficulties, which may impact future budgets. She also mentioned a potential staff retirement in the next 0-5 years and upcoming collective bargaining agreement negotiations for FY27. Human Services, Veterans Ms. Warren-Dyment presented the Veterans Services budget, explaining that Massachusetts state law requires all municipalities to administer Chapter 115 benefits to qualifying veterans. The Town must appoint a Veteran Service Officer (VSO) to manage this program. Currently, Lunenburg has seven individuals receiving Chapter 115 benefits, ranging from under $100 to over $1,000 per month. The town pays out all benefits first and is then reimbursed 75% by the state. The VSO, Michelle Durkey, serves Lunenburg and three other communities, receiving a stipend of $11,000 per year. Ms. Warren-Dyment proposed keeping the overall budget flat at $77,000 for the foreseeable future unless there are changes in the veteran population. Committee members discussed the reimbursement process and explored the possibility of creating a revolving fund for veterans' services to better reflect actual town expenditures. Culture and Recreation, Band Concerts Ms. Warren-Dyment briefly presented on the town band concerts which have been level- funded at $6,000 for several years, with band members paid $40 per performance. There are currently 35 members in the town band. Committee members raised questions about the oversight and organization of the town band, including how to join and how sponsorships work. Ms. Warren-Dyment acknowledged that more information was needed and agreed to follow up with the Band Director, Steve Archambault. Culture and Recreation, Historical Commission Ms. Warren-Dyment stated that the budget had been reduced from $3,000 to $1,000 this fiscal year and she does not intend to change this appropriation. ===PAGE 5=== b. One covering approximately 6 classrooms and the other covers the cafeteria and gym- both areas are leaking. The Town Manager represented that the Facilities Director does feel, in his professional opinion, that repairing the roof in sections will cause future issues and he would prefer to bring the full project through the Capital Planning process.
